A RESOLUTION AUTHORIZING THE EXECUTION OF A CONTRACT WITH
THE NORTHWEST ARKANSAS REGIONAL PLANNING COMMISSION FOR TECHNICAL
AND PROFESSIONAL SERVICES.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
That the Mayor and City Clerk be, and they hereby are,
authorized and directed to execute a contract with the Northwest
Arkansas Regional Planning Commission for technical and professional
services to be rendered to the City by said Commission. A copy
of said contract, marked Exhibit "A", is attached hereto and made
a part hereof.

WHEREAS, the City desires to engage the Contractor to render
certain technical and professional services hereafter described for
the full and adequate consideration described hereafter:
NOW, THEREFORE, the parties hereto do mutually agree as follows:
1. EMPLOYMENT OF CONTRACTOR. The City hereby agrees to en-
gage the Contractor and the Contractor hereby agrees to
perform the services hereinafter set forth.
2. AREA COVERED. The Contractor shall perform all the neces-
sary services provided under this Contract in connection
with and respect to the planning area of the City of
Fayetteville, Arkansas.
3. SCOPE OF SERVICES. The Contractor agrees to make avail-
able to the City the services of its staff for the tech-
nical review, assistance and recommendation of zoning
and subdivision cases scheduled for hearing by the City's
Planning Commission and for advising the City on policies
and procedures pertaining to the regulation of land use or
any other advice of a planning nature that the City might
desire from time to time.
The Contractor also agrees that at least one member of
its staff engaged in providing the services herein described
shall be available to attend the necessary meetings of
the City's Planning Commission and the meetings of the
City's Board of Directors upon request by the City.
4. TIME OF PERFORMANCE. The services of the Contractor are
to commence as soon as practicable after the •execution
of this Contract and shall be undertaken and completed
in such sequence as to assure their expeditious completion
in the Tight of the purposes of this Contract, but in
any event this Contract shall have a duration of five
(5) consecutive years from the execution date.

This Contract may be renewed by the City prior to the
February 1 preceding the Contract's expiration date.
5. PERSONNEL. The Contractor represents that he has, or
will secure, all personnel required in performing the
services required under this Contract.
LIABILITY OF CONTRACTOR. The City agrees to assume only
that liability for the actions of the contractor's staff
which may be directly and causally connected to and result
from the performance of the scope of service as set out in
this agreement.
7. COMPENSATION. The charges to the City shall be those
described hereunder:
A. The Contractors personnel costs which shall include
appropriated overhead,
B. Transportation costs of the Contractor's staff, and

C. Costs for any and all other expeditures made by
. the Contractor in the performance of its services.
