HomeMy WebLinkAbout1972-01-19 - Minutes - ArchiveI* • T a MINUTES OF REGULAR MEETING OF THE HOUSING AUTHORITY OF THE CITY OF FAYETTEVILLE, ARKANSAS The annual meeting of the Housing Authority of the City of Fayetteville, Arkansas was held at 10:00 o'clock A.M., Wednesday, January 19, 1972, in the office of the Housing Authority, 226 North Block Street, Fayetteville, Arkansas. On roll call the following members were present: Messrs: Whillock, Shelton, Douglas, Gould and Baxter Absent: None Also Present: Ora Belle Rollow, David Faught, Hugh Kincaid, and Barbara Crook. The Minutes of the Regular Meeting of November 17, 1971, were approved by motion of Mr. Gould, seconded by Mr. Shelton and carried unanimously. The Minutes of the Special Meeting of December 1, 1971s were approved by motion of Mr. Douglas, seconded by Mr. Baxter and carried unanimously. The financial reports of November and December were approved by motion of Mr. Gould, seconded by Mr. Shelton and carried unanimously. The Chairman announced that the term of office of L.L. Baxter expired December 29, 1971. Mr. Gould moved that Mr. Baxter be reappointed to succeed himself for a five year term. The motion was seconded by Mr. Douglas and the following vote was recorded: AYES: Whillock, Gould, Douglas, Shelton, and Baxter NAYS: None The Chairman declared the motion carried. This reappointment is subject to approval of the City Board of Directors. In compliance with Article II, Section 6, of the By -Laws of the Housing Authority, for election of officers, the Chairman asked for nominations for Chairman and Vice -Chairman. Mr. Douglas made a motion that Carl Whillock be re-elected as Chairman. Mr. Shelton seconded and the vote recorded: AYES: Shelton, Douglas, Gould, Baxter, and Whillock NAYS: None The Chairman declared the motion carried. - 2 - Mr. Gould made motion that Ellis Shelton be re-elected Vice -Chairman, seconded by Mr. Douglas and the vote recorded: AYES: Gould, Douglas, Baxter, Whillock, and Shelton NAYS: None The Chairman declared the motion carried. The Chairman presented the following Resolutions (copies attached). Resolution #80 RESOLUTION APPROVING AND PROVIDING FOR EXECUTION OF PROPOSED LOAN AND CAPITAL GRANT CONTRACT, NUMBERED CONTRACT NO. ARK, R-105(LG), BETWEEN HOUSING AUTHORITY OF THE CITY OF FAYETTEVILLE, ARKANSAS, AND THE UNITED STATES OF AMERICA, TO AID IN FINANCING URBAN RENEWAL PROJECT NO. ARK. R-105, AND ESTABLISHING A PROJECT EXPENDITURES ACCOUNT."AND A PROJECT TEMPORARY LOAN REPAY- MENT FUND WITH RESPECT TO�SAID PROJECT, AND FOR OTHER PURPOSES After discussion Resolution.#80 was adopted by motion of Mr. Douglas, seconded by Mr. Baxter and the vote recorded: AYES: Whillock, Baxter, Gould, Shelton, and Douglas NAYS: None Motion carried unanimously. Resolution #81 RESOLUTION AUTHORIZING THE ISSUANCE OF PROJECT LOAN NOTES IN CONNECTION WITH URBAN RENEWAL PROJECT NO. ARK, R-105 After discussion Resolution #81 was adopted by motion of Mr. Douglas, seconded by Mr. Gould and the vote recorded: AYES: Whillock, Baxter, Gould, Shelton, and Douglas NAYS: None Motion carried unanimously. Resolution #82 RESOLUTION APPROVING THE ACCEPTANCE OF A PROPOSAL FOR CONDUCTING A SECOND ACQUISITION APPRAISAL OF PARCELS PROPOSED TO BE ACQUIRED IN THE CENTER SQUARE URBAN is RENEWAL PROJECT. I* E 41 3 - After discussion Resolution #82 was adopted by motion of Mr. Douglas, seconded by Mr. Gould and the vote recorded: AYES: Whillock, Baxter, Gould, Shelton, and Douglas NAYS: None Motion carried unanimously. Resolution #79ABC A. RESOLUTION APPROVING AMENDMENT TO CONTRACT FOR LEGAL AND ADMINISTRATIVE SERVICES (URBAN RENEWAL) M RESOLUTION APPROVING CONTRACT FOR LEGAL ADMINISTRATIVE SERVICES (URBAN RENEWAL) C. RESOLUTION APPROVING CONTRACT FOR ADDITIONAL LEGAL SERVICES (URBAN RENEWAL) After discussion and clarification by Mr. Kincaid the Resol- ution was adopted by motion of Mr. Douglas, seconded by Mr. Gould and the vote recorded: AYES: Whillock, Baxter, Gould, Shelton, and Douglas NAYS: None Motion carried unanimously. Mr. Faught presented for discussion a proposed Contract for Design and Engineering of Project Improvements of Project ARK R-105 submitted by Urban Programming Corporation of St. Louis, Missouri. After discussion Mr. Faught was asked to check with other cities which had been served by U.P.C. and to make various counter proposals before presenting a proposal again for consideration. After a visit to inspect the apartments in the High Rise, the Commissioners were unanimous in their opinion that the car- peting installation in the High Rise is not acceptable. Formal action was not taken at this point. There being no further business the meeting was adjourned. ATTEST APPROVED Chairman Secretary 0 RESOLUTION NO. 79A RESOLUTION APPROVING AMENDMENT TO CONTRACT FOR LEGAL AND ADMINISTRATIVE SERVICES (URBAN RENEWAL) WHEREAS, the Housing Authority of the City of Fayetteville, Arkansas, hereinafter referred to as the "Local Public Agency," and Hugh R. Kincaid, hereinafter referred to as "Attorney," did on June 1, 1970, enter into the above -referenced contract for legal and administrative services, during the period from June 1, 1970 to November 30, 1971, in connection with Central Square Urban Renewal Project No. Ark. R -105(A), and WHEREAS, from and after the expiration of said period on November 30, 1971, until the present date, said attorney has continued to provide such services to the Authority, with the understanding that he was to continue being compensated therefor at the same rate, and with the understanding that a formal agree- ment evidencing this amendment, would be entered into between the Authority and the Attorney, at the earliest practicable date, and WHEREAS, it is the desire of the Authority and the Attorney to now formally enter into an agree- ment to evidence said amendment. NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSIONERS OF THE HOUSING AUTHORITY OF THE CITY OF FAYETTEVILLE, ARKANSAS: SECTION 1. That the amendment to the contract dated June 1, 1970, between the Authority and the Attorney Hugh R. Kincaid, for legal services in connection with Central Square Urban Renewal Project, No. Ark. R -105(A), be and the same is hereby approved effective November 30, 1971, SECTION 2. That the Authority hereby ratifies, approves and confirms all acts and services heretofore undertaken by said attorney during the period November 30, 1971 to date in connection with said project and deems them done and performed pursuant to said contract, as amended. 1972. �L PASSED AND APPROVED, this Jday of January, SAPPROVED: e— �t���'�� Chairma RESOLUTION NO. 79B RESOLUTION APPROVING CONTRACT FOR LEGAL ADMINISTRATIVE SERVICES (URBAN RENEWAL). WHEREAS, the Housing Authority of the City of Fayetteville, Arkansas, has entered into a contract for Loan and Grant, identified as Contract No. Ark. R-105(L&G), dated , 1972, with the United States of America, providing for financial aid to the Authority under Title I of the Housing Act of 1949, as amended by all amendatory acts; and WHEREAS, pursuant to such contract the Authority is undertaking certain activities necessary for the execution of the project; and WHEREAS, the Authority desires to engage the Attorneys, Kincaid & Horne, to render certain technical • advice and legal assistance in connection with the undertaking by the Authority of said project. NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSIONERS OF THE HOUSING AUTHORITY OF THE CITY OF FAYETTEVILLE, ARKANSAS: SECTION 1. ARK, R-105 AND ESTABLISHING A PROJECT EXPENDITURES ACCOUNT AND A PROJECT TEMPORARY LOAN REPAYMENT FUND WITH RESPECT TO SAID PROJECT, AND FOR OTHER PURPOSES WHEREAS, under Title I of the Housing Act of 1949, as amended, the United States of America ("Government") has tendered to HOUSING AUTHORITY OF THE CITY OF FAYETTEVILLE, ARKANSAS ("Local Public Agency") a proposed Loan and Capital Grant Contract, pursuant to which the Government would extend certain Federal Finan- cial assistance to the Local Public Agency in connection with the urban renewal project described therein; and WHEREAS, under said proposed Contract the Local Public Agency is required, among other things, to establish, with respect to said Project, separate and special accounts on its books of account which shall be designated "Project Expenditures Account; Project NO.ARK- R-105 " and "Project Temporary Loan Repayment Fund; Project No. ARK. R-105 ", and to deposit and maintain the moneys recorded in said account in a bank or banks which are members of the Federal Deposit Insurance Corporation: Provided, That, the Local Public Agency may establish and maintain a consolidated bank account or accounts into which shall be deposited the moneys debited to the Project Expenditures Account for any or all urban renewal projects now being carried out or to be carried out by the Local Public Agency under Contracts for Loan and Capi- tal Grant with the Government and a consolidated bank account or accounts into which shall be deposited the moneys debited to the Project Temporary Loan Repayment Fund for any or all urban renewal projects now being carried out or to be carried out by the Local Public Agency under Contracts for Loan and Capital Grant with the Government; WHEREAS. the Local Public Agency has given due consideration to said proposed Con- tract; and WHEREAS, the Local Public Agency is duly authorized, under and pursuant to the Con- stitution and laws of the State of Arkansas to undertake and carry out said Project and to execute said proposed Contract: BE IT RESOLVED BY HOUSING AUTHORITY OF THE CITY OF FAYETTEVILLE ARKANSAS AS FOLLOWS: PREVIOUS EDITION IS OBSOLETE H.U.43155c (11.70) SECTION 1. The proposed Contract, designated "Loan and Capital Grant Contract; .Contract No. ARK.11-105(LG)", consisting of Parts 1 and 11, and providing for the making by the Government of a Project Temporary Loan, a Project Definitive Loan, and a Project Capital Grant under Title I of the Housing Act of 1949, as amended, in connection with the project described therein and designated Pioject NOARK. R-105is hereby in all respects approved. • L SECTION 2. The Chairman is hereby authorized and directed to execute said proposed Contract in three counterparts on behalf of the Local Public Agency, and the Secretary is hereby authorized and directed to impress and attest the official seal of the Local Public Agency on each such counterpart and to forward such counterparts to the Department of Housing and Urban Development, together with such other documents relative to the approval and execution thereof as may be required by the Government. SECTION 3. With respect to said Project, the Secretary is hereby authorized to establish separate and special accounts on its books of account designated "Project Expenditures Account; Project No.ARK. R-105 ", and "Project Temporary Loan Repay- ment Fund; Project No.ARK. R-105 ." OPO 092.442 RESOLUTION N0, 81 RESOLUTION AUTHORIZING THE ISSUANCE OF PROJECT LOAN NOTES IN • CONNECTION WITH URBAN RENEWAL PROJECT NO, ARK, R-105 WHEREAS the HOUSING AUTHORITY OF THE CITY OF FAYETTEVILLE, ARKANSAS, (herein called the "Local Public Agency") is duly authorized and proposes to undertake and carry out a certain urban renewal or redevelopment project (designated Project No ARK. R-105 ) of the character authorized by law with financial aid by the United States of America (herein called the "Government"), in the form of a Project Temporary Loan under Title I of the Housing Act of 1949, as amended (42 U.S.C. 1450 et seq.), which may be made by the Government to the Local Public Agency with respect to said Project in accordance with a certain Loan and Grant ,Contract (herein called the "Contract"), by and between the Local Public Agency and the Government; and WHEREAS, in order to enable the Local Public Agency to obtain such financial aid, it is necessary for the Local Public Agency to authorize and, from time to time, issue ,certain obligations in the form of Project Loan Notes, as hereinafter provided: NOW, THEREFORE, BE IT RESOLVED by the Local Public Agency as follows: Section 1. Whenever the following terms, or any of them, are used in this Resolution the same, unless the context shall indicate another or different meaning or intent, shall be construed, are used, and are intended to have meanings as follows: (1) The term "Resolution" shall mean this Resolution. (2) All other terms used in this Resolution and which are defined in the Contract shall have the respective meanings ascribed thereto in the Contract. Section 2. The Contract entered into between the Local Public Agency and the Government for the above identified Project is hereby declared to be a part of this Resolution and all applicable provisions thereof shall be deemed incorporated herein to the same extent as if the provisions. thereof were expressly set forth in full herein. I Section 3. In order to evidence payments made by the Government on account of the Project Temporary Loan pursuant to the Contract with respect to the Project and to refund, renew, extend or substitute for any Note by this Resolution authorized to be issued (or any such Note by any other resolution authorized to be issued and which is outstanding, or on deposit for delivery pending payment therefor, as of the date this Resolution becomes effective), there are hereby authorized to be issued, from time to time, Project Loan Notes of the Local Public Agency in an aggregate principal amount outstanding at any one time (whether authorized by this Resolution or any other resolu- tion authorizing the issuance of Project Loan Notes) not in excess of the amount of the Project Temporary Loan available under the Contract. Section 4. The Secretary is hereby authorized to file with the Government from time to time as funds are required, requisitions, together with the necessary supporting documents, requesting payments to be made on account of the Project Temporary Loan available under the Contract, and the proper officers of the ,Local Public Agency shall prepare, execute and deliver to the Government Notes..herein- fter authorized and shall accept payment therefor from the Government in the form of cash or other Notes issued by the Local Public Agency, and such officers are authorized to do and perform. all other things and acts required to be done or performed in order to obtain such payments. Cash proceeds from the issuance of all Project Loan Notes shall be deposited and disbursed only in accordance with the provisions of the Contract. Section 5. Each Project Loan Note shall bear interest and be payable in the form and manner prescribed by the Contract and this Resolution; shall be signed in the name of the Local Public Agency by the Chairman ; attested by the Secretary and shall otherwise be fn substantially the form of HUD -9107 which is incorported herein by reference. Section 6, This Resolution shall supersede all previous resolutions authorizing Project Temporary Loan Notes, and the Project Loan Notes authorized by this Resolution shall be exchanged for any Project Temporary Loan Notes heretofore issued pursuant to any previous resolution_ Section 7. This°Resolution shall take effect immediately. WHEREAS, it is required by the Department of Housing and Urban Development, Renewal Assistance Office, that two Acquisition Appraisals of those parcels proposed for acquisition be conducted upon completion of development plans for the Center Square Urban Renewal Project, ARK R-105, and WHEREAS, the Housing Authority of the City of Fayette- ville, Arkansas has selected the proposal which best meets the criteria of such a study, NOW, THEREFORE, BE IT RESOLVED by the Commissioners of the Housing Authority of the City of Fayetteville: Section I. That a contract for a Second Ac- quisition Appraisal by and between the Housing Authority of the City of Fayetteville, Arkansas and • O.J. Snow and Associates, is hereby approved, Section II. The Chairman is hereby authorized to execute the Contract in the name of, and the Secretary is hereby directed to attest the Con- tract in the name of the Housing Authority of the City of Fayetteville, Arkansas, Section III.
