Copy of Resolution Whereas,the City Council or the City of Fayetteville is informed that Safeway ines, Inc. proposes to make applicatimn to the Arkansas Public Service C6mmission for a B;4sline certificate of public convenience and necessity to operate a bus line from Fayetteville, Ito Arkansas to Van Buren, Arkansas over U.S.Highway No.62 and State Highway No. 59 through LincolnSrmington, Arkansas, Prairie Grove, Arkamsas, Lincoln, Arkansas and to terminate at Van- redommend Buiren, Arkansas, and, ed. Whereas, the City Council of the City of Fayetteville, Arkansas is of the inion that additional public surface transportation is needed over said route, partic- ularly between Lincoln, Arkansas and Fayetteville, Arkansas. LEASE WD AGRF.IT:TEWT <<y,c This lease and agreement made and entered into on this the First day of November, 1948, by and between. the City of F?y ettevil.le, Aacansas, a municipal co rnorat ereinafter designated as the Lessor, and Haymond J. Ellis, doing business as Fayette- ille Flying Service, hereinafter designated as the Lessee and.Rianager. ITNESSETH: For and in consideration of a minimum payment of One Hundred Dollars er month, and one and one-half percent of al.i. gross income of the Leasee and anager on al.i sums in excess of Fivee Thou sand colla rs ($5,0nn) per month up to Ten housand Dollars (10,^^^) per month, and t~vo percent. (2;) on all gross income in ex- ess of Ten Thousand Dollars ($,10,^^^) per morth, to be paid in the manner hereinafter et forth and subject to the conditions hereinafter set forth, the Lessor hereby leases �to the Lessee, its hangar, shop buildings, storage rooms, and other related facilities ocated at Drake Field. Fayetteville Y-Onicip-al Airport, Fayetteville, vrkansas except the landing _=seas of the airport to which the Lessee is granted a use in .,or -mon with th-a^s !together with the right of ingress and. ogress to the airport and its properties and facilities. Rentals.may be paid monthly on the monthly r( -,ports as hereinafter set forth or ma},r be permitted to accumulate for periods not to exceed three months. The gross incoane as set forth hereinafter shrill not include any income derived from the ale of aircraft. A plat of said airport showing buildings and facilities covered by i.his lease is hereto attached, made a part hereof and Trlarked Exhibit A. The Lessee agrees to make the facilities leased to him available for the use and it of the public on fair and reasonable terms and without unjust discrimination. It is further understood and agreed that this lease and agreement shall not prevent Lessor from malci.ngmajor improvements on said airrort even though said i.mprove- ents may temporarily make the main runways unfit for use by the Lessee, and the Lessee and the party contracting to do the improvements shall agree upon the manner in ejhich said improvements are to be conducted in order that flying operations will not be totally sispended. ,During the term of this agreement, the Lessor will continously maintain in good nd servicable condition and repair- the entire airport; and all. buildings nn' other mprovements rind facilities hereinabove leased to the Lessee. The Lessee will repair buildings, structures and facilities leased to the Lessee n the event they are destroyed or damaged replacing; or restoring them to a condition omparable to that preceding the destrvcti.on or damage; provided, however, that should he Lessor elect not to replace or repair such buildings, structures and/or facilities, he Lessee may elect to terminate this lease at his option, or at the option of the essee herein rentals shall be reduced in proportion to the damage sustained on the eased facilities. The Lessee hereby agrees to surrender to the City of Fayetteville such space in irport buildings as may be reasonably adequate for use it connection vtith aeronautical ommunications activities inhich the C. A. A. may deem necessary to establish and main- ain at the airport, and that' no.reduction in rentals shall be made in the event of any y reason of such surrender. It is hereby expressly understood and agreed that the Lessee will pay all util.it' used by him in connection with the hangar, buildings and facilities leased hereby save and except the utilities used in connection with the lighting of the airport landing areas and airport hazard and ident'ificatior. lights, :which are the responsibility of the Lessor and shall be paid by the Lessor, and save and except the utilities used by an aeronautical communications activity, if any. The Lessee and Manager hereby agree .to maintain a current systen of airport accounts and records sufficient to provide a. basis for the payment; of rents, ann°ial statements of incomes and expenses, balance sheet and affiliated fiscal reporting, and that the same will be avlilable for inspection at any time upon, reasonable request by representatives of the Civil Aeronautics Administration, or its successors. The Lessee shall act as the manager of Drake Field, Fayetteville Municipal Air- port, and shall exercise such powers and duties in connection with the management of said Field as the Lessor is authorized to exercise, subject to but not; limited to regulations of the Civil A.eronantics Administration and such regulations and ordinances as the City of Fayetteville may promulgate or enact. The Lessee and Manager is specifically enjoined to inspect the landing areas, airport properties and lighting systems and promptly report to the Lessor any conditions requiring attention. This lease shall not be assigned or any part of the leased premises sublet with- out the consent in writing of the Lessor. This lease shall begin on the 1st day of November, 1948, and shall continue so long as the Lessee operates under a certificate of the Civil Aeronautics Administration or as a direct contract flying school for any, of the armed services of the United State: but in, a ry event not to exceed a period of five years with the right granted to the Les: to extend this lease for a period of an additional five years under the same terms and conditions end in the event said Lessee shall not operate under a certificate of the Civil Aeronautics Administration or as a direct contract flying school for the Armed Services of the United States or- any of them, this lease shall immediately terminate but nothing herein contained shall prevent the execution of a new or additional lease whether.mLessee continues to operate under Civil Aeronautics Administration certif icrtes or as a direct contract flying school for the Armed Services or not; or whether said five ,year period shall be expired or not. If the Lessor or the Lessee are unable to P agree upon any teams and conditions 2 of this lease as hereinabove set''forth,' they shall arbitrate their-differencesAvid.
