Minutes of the regular meeting of January 4th- 'were read and approved. ;

Alderman Bronson made a motion that the bills be allowed, as approved, seconded by alderman
Stubblefield, which was regularly passed by the Council.
Deember • The December and ANNUAL reports for._the','year 1942,of Henry t=George as Building
reports Inspector and as ACTING FIRE CHIEF of the FIRE DEPARTMENT, were -presented by the Clerk,
alderman Gregory made a motion that the reports be received abd filed, seconded by alder-
man Bronson, which was passed unanimously by the Council*,
ARK.MUN. Alderman Hosford made a motion khat a warrant for $80.00 be drawn to pay the
LEAGUE 1943 dues in the ARKANSAS MUNICIPAL LEAGUE, -this motion was seconded by alderman Stubble-
ues paid field, and was passed unanimously by the Council
for 19430 Alderman Gregory, Chairman of the AVIATION COMMQTTEE, presented a copy of'a
proposed LEASE on the CITY AIRPCR T, which was read by the Clerk, and after discussion,
alderman Gregory made a motiob that the lease be approved,and"the Mayor and City Clerk
be authorized to sign the ]Lease for the City, this motion was seconded.by alderman Bronson,
and was passed unanimously by the Council.

THIS LEASE madEand entered into on this day.of January, 1943, by and between
CITY%OF FAYETTEVILLE, ARKANSAS,hereinafter designs ed as the lessor and FAYETTEVILLE FLYI
S�RVICE, a partnership composed of Raymond J.Ellis, Sallye Margaret Ellis and Edgar T.Ell
hereinafter designated as .the lease, WITNESSETH:.
Foe and in consideration of the payment by the lessee to'the lessor of the sum
4o Hundred Fifty Dollars .($250.00) per month, to.be paid in the manner hereinafter set f
apd subject to the conditions hereinafter set forth,the lessor hereby leases to the less
its airport located on United States Highway No.710 approximately three and one-half mile
sputh of the City of Fayetteville, together with all;:f"ixtures, buildings and improvements
of whatsoever nature and kind belonging to lessor, now or hereafter located on said airpo
during the tenure of this lease or any renewal thereof;,and said lessee shall have exclus
p session and control of said airport subject only to the conditions hereinafter set fort.
Lessee shall have the exclusive right to carry passengers for hire where the F
e teville Municipal Airport is the point of origin for said trips and all persons,f irms o
c rporations desiring to carry passengers for hire where the point of origin is the Fayet
ville Municipal Airport shall be required to make satisfactory arrangements with the less
h®rein,e provided that this paragraph shall not apply to regular scheduled commercial air
line operations, nor shall it apply to the use of said airport by third parties in non -ca
morcial operations so long as such use does not interfere with the use of said airport by
lTssee.
It is further.understood and agreed that this contract shall not prevent the
City of Fayetteville from making major improvements on said airport even though said impr
ments may temporarily make the main runways unfit for use; but the lessee and the party c
tracting to do the major improvements shall agree upon the manner in which said improveme,
a�e to be conducted in order not to put said airport in such condition that flying operat
will be totally suspended, and the City of Fayetteville agrees that they will keep said f
in as good condition as it now is and to repair minor damage to said airport.
Lessor agrees that rentals shall be payable in proportionate installments w.
lessee receives payment from the Civil Aeronautics Administration for the training of Stu
d nts assigned to lessee by said Civil Aeronautics Administration, but in no case shall"
Ttals accumulate for alperiod longer than three -months or for sum in excess of three
months rental, whether lessee is training students for the Civil Aeronautics Administrati
4 not; provided, however,that this paragraph shall not be construed to mean that'lessee
not operate as a contract flying school for the Armed Forces of the United Stateso

It is understood that the rentals may be adjusted annually, taking iylto consid-
eration the net earnings of lessee from the operation of said airport and the improvements
w ich lessor may make on said airport, and in order for said adjustments to be made, the par
dgsiring the adjustment in rentals shall serve the other party with a written notice of his
desire to adjust rentals at least thirty days before the annual anniversary of this lease;
aid failure to give sueh novice within the time, unless waived by the other party'shall have
tle effect of continuing said lease under the same rentals for the following year. 14
This lease cannot be assigned or any part of the premises or improvements trierem
o sublet, without the consent in writing of the lessor; and a dissolution of the partnership
o#'_lessees shall operate as a cancellation of this lease, but this clause shall not be coAm
s fed as prohibiting the execution of a new lease with any or all of the partners lessees;

tration or as -a direct contract flying school for the Airforce of the United -States Armed
Services, or any of them, but -in no event to excedd a period of five (5) years; and in
*'he event lessee shall not operate said airport under a certificate -of said Civil Aero-

tnited States Armed Services, this lease shall immediately terminate, but nothing herein

tion to renew said lease for an additional period of five (5) years under such terms and

upon the terms and conditions to be applicable to said renewal lease, then each of said
parties agrees that the terms and conditions under which the renewal lease shall be opera-
ted will be submitted to a Board of Arbitration, one of whom shall be selected by the
Lessor, one of whom shall be selected by the lessee, and the third member shall be selected
ly the choice of the first two members.
., Said three-member Board of Arbitration shall fix the terms and conditions
of said renewal lease, for,a'five year period, and both lessor and lessee shall be bound
by said terms and conditions.

There being no further business, alderman McRoy moved to adjourn, seconded by
alderman Bronson, which was duly passed by the Council, and the Mayor declared the Coun-
cil adjourned.
