Fayetteuille Ciyy Council met in regular session, 111onday, August 7th, 1939.
Present: Mayors A.D.McAllister, City Clerk, J.W.McGehee, City Engineer, E.T.Brown

minutes of the regular meeting of July 31st were read and approved.

motion that_the bills be allowed, as apprmved, seconded by alderrian Bronson, which was
regularly passed by the Council.
Roy Brumfield Mr. Roy Brumfield appeared before the Council to see if any thing could be done
asked that something to eliminate the odors coming from the Hammond Poultry House near the Mt.Inn Hotel
be done about the and after discussion, it was agreed that Mayor A.D.Iv9cAllister and aldermad Carter
Hammond Prduce would act as a committee to go see Mr. Hammond to see what could be worked out.

Bernal Seamster, acting for City Attorney Price Dickson, told the Council they
have six months in which to appeal from the chancery court decision that the City
can not repeal civil service.
Alderman Gregory introduced;:an Ordinance, entitled, "AN ORDINANCE ABOLISHING
THE SEPERATE OFFICES.OF CHIEF OF POLICE AND CHIEF OF THE FIRE DEPARTMENT, DESIGNATING
THE MAYOR AS EX -OFFICIO CHIEF OF POLICE AND CHIEF OF THE FIRE DEPARTMENT WITHOUT PAY
AND FOR OTHER•PURPOSES.
The Ordinance was read in its entirety by the City Clerk,alderman Sanders made
a motion that the rules be suspended , and the Ordinance placed on its second reading
seconded by alderman Bronson, which received the unanimous vote of the Council, and
the Mayor declared carried, as thEre were 8 Ayes, and no Nays.
The Ordinance was read the second time by the Clerk, and after discussion,
alderman Sanders made a motion that the rules be further suspended, and the Ordinance
placed on its third and final a n ;ecod�byiPrman Peal, which received the
unanimous vote og the Council�� e :ayor �eclaTeca`ried, as there were Ayes,
and Irayo.

The Mayor then put the question "Shall the Ordinance pass" and on roll call

Alderman Peal moved that the emergency clause be adopted, seconded by alder-
man Shook, and on rollcall by the Clerk, received the following vote: Ayes; Bronson,
Carter, Gregory, Hosford, Peal, Sanders, Shook and Ucker. Nays; None. slid the Mayor

AN ORDINANCE ABOLISHING THE SEPERATE OFFICES OF CHIEF OF POLICE AND CHIEF OF
THE FIRE DEPARTMENT, DESIGNATING THE MAYOR AS EX -OFFICIO CHIEF OF POLICE AND CHIEF OF
THE FIRE DEPARTMENT WITHOUT PAY AND FOR OTHER.PURPOSES.
WHEREAS,it is necessary to econpmise on expenditure out of the general fund
of the City of Fayetteville in order to com311y with Amendment No. 10 to the Constitu
of the State of Arkansas: and,
Whereas, after a careful survey it has been determined that by abolishing the
seperate offices of Chief ofPolice and Chief of .the Fire Department and making the
Mayor of the City of Fayetteville the Ex -officio Chief of Police and Chief of the Fire
Depabtment, a material saving will result and the residents of the City of Fayetteville
will not suffer as a consequence of such curtailment of expenditures:
NOW,THEREFORE, BE IT ORDAINED by the by the City Council of the City of r'ayet
ville, Arkansas:
SECTION ONE: The seperate offices of Chief of Police and Chief of the mire
Departmenb of the City of Fayetteville.. Arkansas, are hereby abolished, and the powers
and duties of such offices are hereby vested in the Mayor of the City of Fayetteville,
Arkansas, who shall hereafter be the Ex- officio Chief of Police and Chief of the Pire
Department of said City of Fayetteville, and the salaries heretofore paid to the Chief
of Police and Chief of the Fire Department of the City of Fayetteville, shall remain is
the general fund to be used for such purposes as may be necessary.
SECTION TWO: All Ordimances or parts of ordinances in conflict herewith are
hereby repealed, and it appearing that the general fund of the City of Fayetteville is
allready overdrawn and that a saving must be made immediately in order to comply with
Amendment No. 10 to the Constitution of the State of Arkansas, an emergency is hereby
declared to exist, and this Ordimance shall be in full force and effect from and after
Ats passage, approval and publication.

,WHEREAS, the Civil Service Commission of the City of Fayetteville, Arkansas,
has failed and refused to designate a chief of.bolice for, the ,Bolice Department of t&e
City of Fayetteville, Arkansas, for a period of more than four and one-half years; and
WHEREAS, the Civil Service Commission of the'City of Fayetteville, Arkansas,
has failed and refused to properly supervise the Fire Department .of the City of Fayette
ville, Arkansas, and as a result.property owners within the City of Fayetteville,Arkans
are threatened with an increase in insurance premiums, of .4$11,25q.00 annually; and
WHEREAS, B.F.McAllister, one of the said Commissioners, holds an office under
State Government, as found by the Chancery Court of Washington County, Arkansas, and
who has held said office from the time of his appointment and selection as a Civil Se
Commissioner, and was ineligible at the time of his selection,and has not since been
re-elected.
\NOW, THEREFORE, BE IT RESOLVED that Carlos Guisinger, B.F.McAllister and Julia
Ownbpy be and they are hereby removed as Commissioners of the Civil Service Commission
of the City of Fayetteville, Arkansas, for the causes hereinabove stated;
BE IT FURTHER RESOLVED thatcopies of this Resolution be forwaeded to each of
the three Commissioners to the end that they may be notified of their removal from offi

Alderman Gregory introduced a Resolution to remove Clyde Walters as Building
Inspector, Electrical Inspector and Gas Inspector, Alderman Sanders moved the'Adoption
of the Resolution, but the motion was lost for want of a Second, and the Mayor so decl+
Alderman Sanders presented the proposition, that the Fire Department needed
some Hose for the Booster Pump, alderman Bronson made a motion that the Fire Committee
be empowered to purchase 300 feet of hose for the Booster Pump, seconded by alderman
Ucker, which was passed unanimously by the Council: ,

This agreement made and entered into on this 7th day of August, 19390 by and between the
City OF FAYETTEVILLE, ARKANSAS, hereinafter ced the City, and E.T.AR6HEE & COMPANY
`alCONSULTMIG ENGII'EERS, KANSAS CITY, MISSOURI,,hereinafter called Engineers,
L".WITNESSETH:
WHEREAS, the City is considering the advisability of taking over the distribu-
tion system of the Southwestern Gas & Electric Company within the City of Fayetteville, .
Arkansas, and desire to secure adequate and unbiased engineering service to aid in deter
mining the method by which electricity shall be dupplied to the City in the future;
NOw,THEREPORE, the City engages the Engineers to serve as the City's Special
Engimeers in connection with development, financing, and acquiring of a municipal plant
and distributing system upon the following terms and co ditions:
SECTION I. INVESTIGATION AND PRELIMINARY REPORTe The Engineers will make a
thorough investigation of the conditions pertain g to and affecting the proposed impro
ments and will prepare a complete and exhaustive report and analysispwhich in addition
to other information will contain the following:
Preliminary design for new distribution system including all connections,
services, etc. together with preliminary design for municipal power plant showing the
number of units and method of determining the size of the same,miscellaneous equipments,
etc.
1 Financial statement including cost of operation at present rates, at reduced
rates, analysis of funds necessary for maintenance, depreciation, interest; showing net
profits available for rate reductions, decrease in general levy or for other purposes;
sketches, maps, and other data essential to a clear understanding of the project.
SECTION 2. BOND ELECTION. In the event a bond election is called, the
Engineers will a-ssist in the campaign to acquaint the people with the actual facts at
issue and to off -set the misinformation put out by thdse who are not in favor of the
project. They will also attend meetings, assist in preparing data and will give the
City the benefit in every way of their experience in aiding municipalities in carrying
bond elections.
SECTION 3. COURT SERVICE. In the event legal action is taken to delay or
prohibit the City from carrying out the program determined upon, the Engineers will a
-sist the City in any such action by preparing additional data, appearing as expert
witnesses and cooperating in every way with the City throughout the course of any
Court action.
SECTION 4. APPRAISAL. The Engineers will make an appraisal of the present
facilities for furnishing or distributing power by acjual inspection of physical propert
of the privately owned utility and prepare an appraised value of all materials and
equipment inthe system or plant and will compile a tabulatimn of the value of the same
considering depreciation, length of life and fatness for service under which it is -
operating, with a report and recommendation as to what parts`, `of the same would be -of
value to the City in their proposed improvements. I
SECTION 5. PLANS AMID SPECIFICATIONS. If the City should so elect, the Engi-
neers will prepare final plans and specifications covering the construction of the
plant and distribution system. The plans and specifications shall show in detail each
and every item entering into the same and will be in sufficient detail to permit the
manufacturers or contractors to bid upon the work. In addition to the specifications,
contract forms, bond forms, and such other data and forms as are necessary for the com-
pletion of an equitable contract will be prepared and presented to the City.
SECTION 6. LETT124G. In the event the City shall elect to construct their
own plant and distributing system, the Engineers will assist the City in letting of con-
struction contracts and the purchase of equipment and will give the project publicity
and will be present at the time of receiving bids to assist the City in tabulating:the
bids, analyzing the different proposals and will recommend to the City Officials those
proposals which are most advantageous to the City.
SECTION 7. HEARING BEFORE THE DEPARTMENT OF PUBLIC UTILITIES. The Engineen
will appear before the Department of Public Utillities of the State of Arkansas in behalf
of the City in the event the City shall elect to purchase the present distributing sys-
tem and will do all within their power to see that the cost of said distribution system
to the City shall be qquitable and at a reasonable figure.
SECTION Be SUPERVISION. In the event the City shall elect to construct
their own power plant and distribution system, thelEngineers will maintain general sup
vision over the w(hrk, will pass on all contracts, and check all monthly bills and will
make general inspection from time to time as will be necessary to keep in contact with
the progress of the work. In addition to this general supervision, the Engineers will
place on the job a resident engineer whose business will be to checV.all materials,
make inspection of all work and see that the contractor performs his work in strict
accordance with the plans and specifications. He will devote his entire time to this
work assisting the City in securing right-of-way,pole line locations, etc. and in gene
al will Supervise the construction of the project.
Upon final completion of the work, the Engineers will make final tests of i
all machinery and equipment to ascertain its fulfillment of the guarantees and will
require that the contractor will meet guarantees set forth in the contract, upon the
completion of which, the Engineers will issue'a certificate to the City to the effect
that the project is completed as contemplated.
SECTION 9. CUMPENSATION. For the services herein specified, the City will
pay the Engineers or assigns, a sum in cash equal to five per cent (5%) of the total
cost of the project plus Two Hundred Fifty Dollars.,(t9&250.00) per month for resident
supervision during the time the resident engineer is."on the ground;^conditioned, how-
ever upon the f olllowing:

One Dollar ($1.00) shall be paid upon the delivery of the preliminary report and appraisqLl of XK?AXKM
the facilities. The actual expense of traveling, hotel rooms and meals shall be paid to the
Engineers in the event it is necessary to appear in any -court or before the Department of Pub-
lic Utilities in acquiring the present distribution system; and in the event the bond election
shall not carry, payment of the first two items shall be considered as payment in full for
all services rendered to that date. Inthe event the bond election shall carry and the City
shall acquire the distribution system of the privately owned utility within the City of
Fayetteville, the City will pay to the Engineers out of the proceeds of the electric bonds
the following items:
Two per cent (2%) of the contract price when the money from the sale of". the
bonds is available and the balance of three per cent (3/) of the purchase price when the City
has taken over and begun operations of the distribution system.
In the event the City should elect to constuct their own power plant and distribu-
tion system, the following amounts will be due the Engineers payable solely out of the proceeds
of the sale oa the electric bonds:
Two per cent (2%) upon pelivery of plans and specifications; one and one-half
(1-1
2,%) upon thebletting of construction contracts; one per cent (1%) upon the contractor's M
monthly estimate during construction period plus Two Hundred Fifty Dollars ($250.00) perl
month covering service of Resident Engineer, and the balance of the fee to be paid, if any,
at the time constriction is completed and the system delivered to the City and operations
begun; it being definitely understood that no Resident Engineer's fee shall be paid inlets
the City shall elect to construct its own system or shall construct a part of its bNK system
in connection with the present distribution, and the services of the Resident Engineer will
be required only during the period of actual construction work.
PROVIDED further that it is specifically understood and agreed that all com-
pensation due the Engineers shall be derived from the sale of the electric bonds with the
exception of the One Dollar ($1.00) and the expense items hereinabove set forth for court
attendance and appearance before the Department of Public Utilities; and that all other
payments shall be payable solely from the proceeds derived from the sale of electric bonds
and not otherwise and no claim for service shall be presented to the City until and unless
the electric bonds are disposed of and the proceeds received and then only in accordance with
the terms hereinabove s6t forth. It is understood that the services contemplated in thisl
contract are not £or.the purpose of securing a reduc.tionoinonates but for the sole purpose
of acquiring the distribution system now owned privately or for ,the purpose of constructing
a municipally owned poser plant and distribution system and the proceedings will not be
dropped by reason of any rate reduction. . .
TERM OF CONTRACT. This contract shall be in full force and effect for a period
of five (5) years from the date of execution.
