CALL TO ORDER :
The meeting was called to order by Commissioner Coy Kaylor at
2 : 00 p . m . at the Chamber of Commerce .
MONTHLY REPORTS :
MINUTES
It was moved by Jerde , second by Fennel that the minutes of
the June 12 meeting be approved . Motion carried .
FINANCIAL
• Marilyn Johnson reported that the total HMR for June had been
reduced by approximately $ 1 , 289 due to a corrected data entry
error . Ben Mayes presented the financial report . HMR
collections were $ 80 , 875 in June an increase of 10 . 798 over
1994 collections . Collections for July were $ 80 , 211 , a
12 . 068 increase . Total year to date collections are
$ 526 , 938 an increase of 9 . 068 . June expenditures were
$ 49 , 576 and July expenditures were $ 73 , 108 . Year to date
expenditures $ 576 , 713 .
Moved by Hanna , second by Fennel to approve the financial
report . Motion carried .
ACTIVITY REPORT
Marilyn Johnson reviewed ,June and July activities of
Convention Visitor Development . Inquiry responses year to
date total 23 , 037 .
Convention activity has involved working with thirteen future
conventions for 1995 , 1996 , and 1997 . FAM tour group from
Kincaid Tours , Oklahoma City was reviewed .

Motion by Fennel , second by Hanna to approve the Convention
Visitor Report . Motion carried .
AGENCY REPORT
Susan Stirewalt reported that the Agency was working for fall
and winter placement . July advertising responses looked good
and this is the low point of the year . Responses should peak
in September and October . A photo request for fall foliage
article was received from Midwest Today . The dining and
lodging guide is being updated .
A letter to local photographers requesting fall foliage shots
will be sent shortly . Photographers will be compensated if
photography is used . This should increase the availability
of fall foliage at a nominal cost . Fayetteville was featured
in the weekend getaway section of Southern Living .
Motion by Fennel , second by Waselues to approve the Agency
report . Motion carried .
OLD BUSINESS :
EXHIBIT HALL
• Mayor Hanna showed photographs of the town center in
Chattanooga which is tentatively planned as the type of
facility we will be using for our Exhibit Hall . Marilyn
presented the RFQ . Motion by Jerde , second by Fennel to
approve the RFQ with change to have RFQ ' s in September 5 and
to include some wording by Charles Venable . Motion carried .
Photographs are available in Mayor Hanna ' s office .
NEW BUSINESS :
RESIGNATION - Moved by Fennel , second by Bassett to accept
resignation of Linda McBride . She has moved to Farmington
and is ineligible to serve . Commissioners expressed their
regret to lose her as a Commissioner . She has been a good
commissioner . Motion carried .
HOLIDAY HOOPS TOURNAMENT UPDATE - Fennel reported that the
tournament looks to be great . Good teams are coming . The
Hilton has worked with them in providing rooms . Restaurants
are being contacted to help . Six to ten kids who went to the

Nike Basketball Camp will be on teams invited . Selma ,
Alabama is bringing a busload of fans .
REFUNDING OF C . C . E . BONDS - Llama as the underwriter is
through drafting documents . They will go to market on August
29 and close 30 days after that .
Motion by Jose to approve a resolution to approve refunding
of the bonds and issue $ 2 . 7 million bonds , second by
Waselues . Motion carried .
OTHER BUSINESS - Marilyn reported that another hotel ,
Guesthouse International was under construction and would
open in the fall . In updating the dining and lodging guide ,
tentative projections since last October were the loss of 5
restaurants , and 30 new ones added .
There being no further business , moved by Fennel , second by
Jerde to adjourn the meeting . Motion carried .

A special meeting of the Advertising & Promotion Commission
was called to order by Commissioner Coy Kaylor at 3 : 30 p . m .
for the purpose of considering a resolution regarding
refunding of the Continuing Education bonds .
Ben Mayes explained that the 7 1 / 2 % to 7 . 875 % bonds presently
held would be refinanced with 4 1 / 4 % to 5 1 / 4 % interest
bonds . Revenues pledged would be the same as in the old
bonds except the parking deck revenues would be freed and
only the one sixth of the HMR tax revenues would be pledged .
$ 1 . 3 million annual saving in cash flow would be saved
• ( present value of $ 1 . 02 million , net savings of approximately
$ 323 , 636 ) . One year maximum principal and interest will be
kept in reserve .
Moved by Joe Fennel , second by Alex Jerde to adopt a
resolution recommending the issuance and sale of bonds to
refund the Continuing Education Center Revenue Bonds .
( Resolution is attached ) Motion carried .
There being no further business , the meeting was adjourned .

ADVERTISING AND PROMOTION COMMISSION
A RESOLUTION RECOMhLiNDING THE ISSUANCE AND SALE OF HOTEL AND
RESTAURANT GROSS RECEirrs TAx REFUNDING BONDS, SERIES 1995, BY THE.
CITY OF FAYETTEvILLE, ARKANSAS TO REFUND THE CITY'S OUTSTANDING ,
CONTINUING EDUCATION CENTER REVENUE BUNDS, SERIES 1979; APPROVING
AN ORDINANCE, PREMffNARY OFFICIAL STATEMENT, AND BOND PURCHASE
AGREEMENT IN CONNECTION THEREWITH; AND AUTHORIZING AND
PRESCRIBING OTHER MATTERS PERTAINING THERF140
WHEREAS, the Advertising and Promotion Commission (the "Commission ") of the City
of Fayetteville, Arkansas (the "City") was established pursuant to the Advertising and Promotion
Commission Act, Arkansas Code Annotated (1987 & Supp. 1993) § §26-75-601 to -608 , as
amended (the " Act"); and
• WHEREAS, there are outstanding City of Fayetteville, Arkansas Continuing Education
Center Revenue Bonds, Series 1979 (the " 1979 Bonds"), and the Commission has determined
that the 1979 Bonds should be refunded in order to achieve debt service savings; and
WIIEREAS, the City is authorized under the Act to issue and sell revenue bonds for the
purpose of refunding the 1979 Bonds; and
WHEREAS, a form of an Ordinance (the " Ordinance") authorizing the issuance and sale
of $ City of Fayetteville, Arkansas Hotel and Restaurant Gross Receipts Tax
Refunding Bonds, Series 1995 (the "Series 1995 Bonds"), Bond Purchase Agreement (the "Bond
Purchase Agreement") by and between the City and Llama Company (the "Purchaser") , and
Preliminary Official Statement (the "Preliminary Official Statement") offering the Series 1995
Bonds for sale have been presented to and are before this meeting;
Now, THEREFORE, BE IT RESOLVED by the City of Fayetteville, Arkansas Advertising
and Promotion Commission :
Section 1 . That the issuance and sale of the Series 1995 Bonds is hereby
recommended to the City to provide (together with the moneys in the bond fund and bond
reserve fund established and maintained for the 1979 Bonds) for refunding of the outstanding
1979 Bonds and expenses incidental thereto, to pay the costs of the issuance of the Series 1995
Bonds, and to establish appropriate reserves.
• Section 2 . That the sale of the Series 1995 Bonds to the Purchaser is hereby
recommended to the City. To prescribe the terms and conditions upon which the Series 1995
Bonds are to be sold , the Commission hereby consents to the execution and delivery by the City
of the Bond Purchase Agreement in substantially the form submitted to this meeting.
Section 3 . That to prescribe the terms and conditions upon which the Bonds are to
be executed , authenticated , issued , accepted, 'held , and secured , the Commission, hereby consents
to the adoption by the City of the Ordinance and agrees that it shall be bound thereby. The
Ordinance is hereby approved in substantially the form submitted to this meeting , including,
without limitation , the deposit and handling of revenues and the terms of the Series 1995 Bonds,
Section 4. That the Series 1995 Bonds shall' be ,offered for sale ptirsuant to {tic
Preliminary Official Statement. The Preliminary Official. Statement is hereby approved in
substantially the form submitted to this meeting.
j'; Section S. That the Chairman is hereby authorized and directed to do any and all
things necessary to effect the 'iss ce, execution, sale and delivery of the Series 1995 Bonds
v and the performance of all acts of whatever nature necessary to effect and carry out the authority
conferred by this Resolution . '
Section 6. That the provisions of this Resolution are hereby declared to be severable,
and if any section, phrase, or provision shall for any reason be declared to be invalid , such
declaration shall not affect the validity of the remainder of the sections, phiases, and provisions.
• Section 7. That all resolutions and parts thereof iri • conflict herewith .are hereby
repealed to the extent of such conflict.
Section 8. That this Resolution shall take effect immediately upon its passage and
approval .

Center/ Exhibit Hall were received from the following firms :

At your meeting on Monday , you will evaluate the six firms
• considering the following :
Qualifications in relation to specific project to be
performed - 30 points
Experience , competence , and capacity of performance - 25
points
Past record of performance - 25 points
Familiarity with area - 20 points
The City Purchasing Manager , a City Staff Engineer , and the
Director of Convention and Nisitor Development are ex- officio
members of the committee and will be present on Monday to
answer any questions which you may have .
Each commissioner will rate the firms based on the points
above so that each member selects three ( 3 ) firms , rated 1 ,
21 3 . The firms with the highest number of first and second
place votes shall be selected to be interviewed .
At your meeting on Monday , the Commission should set a time
for the interviews to be conducted .

PARKING - 2 decks for sure ( maybe 3 )
• PARTITIONS - ability to divide the center into smaller spaces
BRICK AND GLASS - to blend with the square and to tie it into
the square
COMPUTER CAPACITY - support for multiple computer network
UTILITIES - sub floor utilities and enough power to
accommodate multiple uses at the same time
KITCHEN FACILITIES OR HOLDING FACILITIES - spacious room and
