Please file mark each Petition, retain one for the City's permanent file, one for presentation to the Mayor, and return the other counterpart to me. The Petition is being filed under the Arkansas Municipal Property Owners' Improvement District law, Ark. Code Ann. Sec. 14-94- 101 et seq. Ark. Code Ann. Sec. 14-94- 106 provides: (a)( 1 ) Upon the filing of the petition with the clerk, it shall be the duty of the clerk to present the petition to the mayor. (2) The mayor shall thereupon set a date and time not later than fifteen (15) days after the date of the presentation of the petition to the mayor, for a hearing before the governing body for consideration of the petition. (b)( I ) At the hearing, it shall be the duty of the governing body to hear the petition and to ascertain whether those signing the petition constitute all the owners of the real property to be located in the district. (2) If the governing body determines that all the owners of the real to be located in the district have petitioned for the improvements, it shall be its duty by ordinance to establish and lay off the district as defined in the petition and to appoint the commissioners named in the petition. � sr (c) The ordinance establishing the district shall be published within thirty (30) days after its adoption by one ( 1 ) insertion in some . newspaper of general circulation in the municipality in which the district lies. Enclosed is a form the Mayor may use to give the City Council notice of the date and time of the hearing on the Petition. Also enclosed is an executed Abstracter's Certificate certifying that the improvement district petition is signed by the owners of the record title to all the real property described in the Petition. I have drafted and enclose an ordinance to establish Fayetteville Municipal Property Owners' Improvement District No. 12- Belclaire and name the commissioners. Section 5 in this ordinance repeals Ordinance No. 4761 establishing Fayetteville MPOID No. 8- Belclaire. There was a real estate title error in the petition when Fayetteville MPOID No. 8 was established. The formation of a municipal property owners' improvement district is merely a financing alternative for the cost of subdivision infrastructure. The improvement district issues special assessment bonds, bond proceeds are used to construct or purchase the improvements, the district levies an annual tax on each lot in the district to pay debt service on the bonds, the annual taxes are collected by the county tax collector and paid to the bond trustee, and the trustee makes debt service payments to the bondholders. Old Missouri Road, Springdale, Arkansas. Present: Commissioners Brandon Barber, Seth Kaffka and Brandon Rains and District Counsel James N. McCord. District Counsel McCord called the meeting to order and announced that the first order of business was the election of a chairman and a secretary for the Board of Commissioners. Brandon Rains moved that Brandon Barber be elected chairman. The motion was seconded by Seth Kaffka and passed unanimously. Brandon Rains then moved that Seth Kaffka be elected secretary. The motion was seconded by Brandon Barber and passed unanimously. McCord advised that Board that it may adopt rules for the transaction of the district's business. Brandon Barber moved that the Board approve rules for the transaction of the district's business providing that (1) meetings of the Board may be held by telephone conference call of the commissioners, (2) a majority of the commissioners, present in person or on a telephone conference call, shall constitute a quorum, and (3) the affirmative vote of two commissioners shall be required to approve any action by the Board. The motion was seconded by Seth Kaffka and passed unanimously. McCord presented to he Board a resolution expressing the intent of the District to reimburse preliminary expenses advanced for the Belclaire project. Brandon Rains moved adoption of the reimbursement resolution. The motion was seconded by Seth Kaffka and passed unanimously. A copy of the resolution adopted by the Board is attached hereto and made a part hereof. Brandon Rains presented the engineering plans and specifications for the Belclaire infrastructure improvements prepared by Project Design Consultants, Inc. pursuant to and Engineering Contract dated October 21, 2005, between Project Design Consultants, Inc. and Dream Team Holdings 1,11.C. Brandon Rains reported that the engineer's estimated cost for the Belclaire infrastructure improvements is approximately $3,310,000. Seth Kaffka moved that the District adopt as its own the infrastructure plans and specifications for Belclaire prepared by Project Design Consultants, Inc. The motion was seconded by Brandon Rains and passed unanimously. McCord then advised the Board that it should appoint an assessor to assess the benefits which will accrue to the real property within the district as a result of the improvements to be purchased or constructed by the Distirct. Bandon Rains moved that Alan C. King with Investment Specialties, Inc. in Little Rock, Arkansas be appointed as assessor for the improvement district. A RESOLUTION EXPRESSING THE INTENT OF FAYETTEVILLE MUNICIPAL PROPERTY OWNERS' IMPROVEMENT DISTRICT NO. 12- BELCLAIRE TO REIMBURSE PRELIMINARY COSTS PERTAINING TO THE PLANNING, DESIGN, SITE PREPARATION, FINANCING AND CONSTRUCTION OF THE PROJECT FROM THE PROCEEDS OF THE ISSUANCE OF CAPITAL IMPROVEMENT BONDS, AND STATING OTHER MATTERS PERTAINING THERETO WHEREAS, Fayetteville Municipal Property Owners' Improvement District No. 12- Belclaire (the "District") intends to issue capital improvement bonds (the "Bonds") to finance certain improvements within the District (the "Project"); and WHEREAS, the District has determined that certain planning and design tasks pertaining to the Project, including, but not limited to, engineering studies, feasibility studies, engineering design, site preparation, financial advisory services, legal services, and preliminary construction work, may be performed and costs incurred prior to the issuance of the Bonds; and WHEREAS, the District desires to express its intent to reimburse preliminary Project costs from the proceeds of the Bonds and desires to make such reimbursement in compliance with Treasury Regulations Section 1.150-2; NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the District: Section 1. Old Missouri Road, Springdale, Arkansas. Present: Commissioners Brandon Barber, Seth Kafika and Brandon Rains, District Counsel James N. McCord and Bond Counsel Chris Travis with the Little Rock law firm of Gill Elrod Ragon Owen and Sherman, P.A. The meeting was called to order by Chairman Brandon Barber. District Counsel James N. McCord presented a resolution prepared by Bond Counsel headed "A Resolution Authorizing the Issuance of the District's Improvement Bonds, Series 2006- A, and Improvement Bonds, Series 2006-B, and Approving the Form of Pledge and Mortgage, the Pledging of the District's Special Tax and Authorization of Related Actions by the District". Seth Kaflka moved that the resolution be adopted by the Board of Commissioners. The motion was seconded by Brandon Rains and passed unanimously. A copy of the resolution adopted by the Board of Commissioners is attached hereto and made a part hereof. Bond Counsel Chris Travis presented the bond issue closing documents to the Commissioners for execution.
