GARVER ENGINEERING, FOR ENGINEERTNG SERVICES
FOR FIVE PROJECTS AT THE AIRPORT, IN THE AMOUNT
OF $116,600; AND APPROVING A BUDGET ADJUSTMENT.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARI(ANSAS:
Section 1. That the City Council hereby authorizes the Mayor and City Clerk to
execute an agreement with Garver and Garver Engineering, for engineering services for the
following projecS: pavement management program as required by the FAA; construction of a
new airport fire station/snow equipment storage building; terminal ramp rehabilitation; ramp
expansion; and passenger canopy, in the amount of $116,600. A copy of the agreement is
attached hereto marked Exhibit "A" and made a part hereof.
Section 2. The City Council hereby approves a budget adjustment in the amount of
$78,545 by increasing Professional Services, Acct. No. 5550 3960 5314 00 and decreasing Use
of Fund Balance, Acct. No. 5550 0955 4999 99. A copy of the budget adjustment is attached
hereto marked Exhibit "B" and made a part hereof.

EXHIBIT A
STAI\IDARD FORM OF ENGINEERING SERVICES CONTRACT
BETWEEN
OWNER AI\ID ENGINEER
FOR PROFESSIONAL SERVICES
This is an agreement made as of rc a 7 between the City of Fayetteville, Fayetteville
Municipal Airport (OWNER), and Garver and Garyer, P. A. (ENGINEER).
OWNER intends to improve the Fayetteville Municipal Airport, more specifically:
o Prcpare a Pavement Management Systcm for the Airfield Pavements, the Parking Lot Pavements, and the Roads on the Airport.
. Construct a ncw ARFF building, with 3 bays for equipment, storage facilities, and living space for 3 firemen.
o Rehabilitation of the existing Terminal Ramp.
o Expansion of the existing Rarnp, including improvements to the existing storm drainage system.
. Construct a canopy to shelter airport passengers leaving the terminal to board aircraft.
As described in more detail in the attached scope ofwork, and as referred to in the following paragraphs as the project.
All project irnprovements shall be in accordance with:
. Applications for Federal Aid prepared by the OWNER, and sound engineering practice.
The OWNER and the ENGINEER in consideration of the mutual covenants in this contract agree in rcspect of the performance of professional
engineering services by ENGINEER and the payment for those services by OWNER as set forth below.
SECTION I . GENERAL
The OWNER agrees to employ the ENGINEER and the ENGINEER agrees to perform professional engineering services for the
project. The ENCINEER has visited the site where the construction will be performed. Engineering will conform to the requiremens and standards
of the OWNER and the Federal Aviation Adminisration, in accordance with regulations and procedurcs established for Federal Aid Projects. The
ENGINEER will coordinate his services with the OWNER, the FAA, and others required in the accomplishment of the services. All of the
Engineering Services will bc supplied by the ENGINEER's personnel, under subcontract to the ENCINEER.

SECTION II . SCOPE OF SERVICES
The ENGINEER shall rcnder all professional engineering services necessary and custornary in the planning and construction ofthe
irnprovements described above.
Services for each phase of the projects are described in more detail as follows for:
BASIC ENGINEERINC SERVICES FOR THE:
l.A Preparation ofPreliminary Report and Plans. The Engineer shall:
l .A. l Servc as the OWNERS representative in the preliminary phase of the project and fumish consultation and advice to the
OWNER during the performance of this service.
LA.2 Attend preliminary conferences alone or with OWNER representative, local officials, state and federal agencies, utility
companies and others regarding the proposed project, its general design, functions, and impact.
1.A.3 Assist the OWNER in ordering and dirccting the accornplishment of such special services as soil borings and material tests
as may be necessary. The OWNER will make Payment for Soil borings will be made directly to the testing lab.
1.A.4 Prepare a preliminary engineering report, supported by preliminary plans, and submit copies for rcview and approval to
the OWNER and FAA in the number required.
1.A.5 Attendconferencesforreviewandconductcoordinationconferenceofinterestedagenciesandutilities,ifrequired.
1.A.6 ThedutiesandresponsibilitiesofENGINEERduringthePreparationofPreliminaryReportandPlansPhaseareamended
and supplemented as indicated in paragraph.!_ of Exhibit A "Further Description of Basic Engineering Services and
Related Matters".
l.B Design Phase. The Engineershall:
I .B. I Plan and direct the balance of soil borings, pavement cores, surveys and tests required for final design of the project.
I .8.2 Prepare detailed construction drawings, specifications, instnrctions to bidders, general provisions and special provisions,
all based on guides furnished to the ENGINEER by the OWNER and FAA. Contract Documents (Plans, Specifications,
and Estimates) will be prepared for one (l) construction contmct. These designs shall be in accordance with sound
engineering principles and shall be submitted to the FAA office from which approval must be obtained. Detailed
specifications shall be developed using FAA "Standards for Speciffing Construction for Airpors" AC 150/5370-10, or other
appropriate standards approved for use by the FAA. The ENGINEER will obtain a specimen copy of the General
Provisions and applicable prevailing wage rates from the FAA and the Arkansas Department of Labor for incorporation
into the specifications for the proposed project.
1.B.3 SubmittotheFAAAirport'sDevelopmentOfliceadvancecopiesoftheplansandspecificationsandcostestimatesfor
review as required by the FAA.
1.B.4 The ENGINEER shall prepare a "Construction Materials Quality Conrol Plan". The plan shall list all materials to be tested
during construction, the appropriate time for testing, the ASTM test designation, the method of.sampling, acceptance
criteria, and tolerance criteria, and the frequency of testing required.
I .B.5 Since ENGINEER has no control over the cost of labor, materials, cquipment or services fumished by others, or over the
Contractor(s)'methods of determining prices, or over competitive bidding or market conditions, ENGINEER's opinions
of probable Total Project Costs and Constn:ction Cost provided for herein are to be made on the basis of ENGINEERS
experience and qualifications and represent ENGINEER's bestjudgment as an experienced and qualified professional
engineer, familiar with the construction industry; but ENGINEER cannot and does not guarantee that proposals, bids or
actual Total Project or Construction Costs will not vary from opinions ofprobable cost prepared by ENGINEER.
1.8.6 The duties and responsibilities of ENGINEER during the Design Phase arc amended and supplemented as indicated in
paragraph 2 of Exhibit A "Further Description of Basic Engineering Services and Related Matters".
l.C Bidding or Negotiating Phase.
l.C.l Assist OWNER in advertising for and obtaining bids or negotiating proposals for each separate prime contract for
constnrction, materials, equipment and services; and, where applicable, maintain a record of prospective bidders to whom
Bidding Documents have been issued, attend pre-bid confercnces and receive and process deposis for Bidding Documents.
Compensation to the Engineer is based on the Feparation of Two separate construction contracts, One for the construction
ofthe ARFF building and related sitework, and another separate contract for the Ramp Rehabilitation and Expansion.
I .C.2 Issued addenda as appropriate to interpret, clarifr or expand the Bidding Documents.
I .C.3 Consult with and advise OWNER as to the acceptability of subcontractors, suppliers and other persons and organizations
proposed by the prime contractor(s) (herein called "Contracto(s)") for those portions of the work as to which such
acceptability is required by the Bidding Documents.
1.C.4 Consult with OWNER conceming and determine the acceptability of substitute materials and equipment proposed by
Contractor(s) when substitution prior to the award of contracts is allowed by the Bidding Documents.
1.C.5 Attend the bid opening, preparc bid tabulation sheets, and assist OWNER in evaluating bids or proposals and in assembling
and awarding contracts for constnrction, materials, equipment and services.
1.C.6 AssisttheOWNERintheexecutionofallcontractdocumentsandfumishasuflicientnumberofexecuteddocumentsfor
the OWNER, Contractor and FAA.
I .C.7 Attend and act as the OWNER s representative at the required preconstruction conferencc.
1.C.8 The duties and responsibilities of ENGINEER during the Bidding or Negotiating Phase are amended and supplemented
as indicated in paragraph .l ofExhibit A "Further Description ofBasic Engineering Services and Related Matters".

2.C Surveys for Constnrction. The ENGINEER will use his personnel to accomplish horizontal and vertical conml for the project,
which the construction contractor will use to control the work. The duties and rrsponsibilities of the ENGINEER for surveys for
construction are amended and supplemented as indicated in paragraph;l of Exhibit "A" "Further Description of Engineering
Services and Related Matters".
TESTING:
For Soils Borings and materials tests necessary for the design of the project, the ENCINEER will direct the making of suflicient material
tests by a testing laboratory approved by the owner to permit proper design of the irnprovements. Cost of the Soil borings and material
tests for design will be paid by the OWNER directly to the testing laboratory.
The ENGINEER will assist the owner in coordinating hiring a testing firm to make material tests to demonstrate compliance with
specifications during construction. The OWNER will pay cost of such materials testing directly to the testing firm.
ADDITIONAL SERVICES:
4.A After approval ofthe preliminary Plans and Specifications, should there be a change in the Scope ofWork or a significant change
that requires redesign, the ENGINEER will make such changes as directed by the OWNER.
4.8 When directed by the OWNER, the ENGINEER will prepare major Change Orders or Supplemental Agrecments during the
construction phase as required to accomplish the work. Major Change Orders are defined as those that require rc{esign or
substantial engineering.
4.C If unanticipated conditions should arise that extend the Project construction timc beyond that established in the Contract
Documents, the ENGINEER will maintain resident personnel on the job, as required, to complete the Project. The ENGINEER
and the OWNER agree that additional observation rate will be billed at the rates paid by the ENGINEER during the performance
of the work, with direct and indirect payroll costs added, but for the additional construction observation caused by unanticipated
conditions the professional fee will not be billed.
4.D When directed by the OWNER, the ENGINEER will assist as expert witness in litigation arising from the development or
construction of the Project.
4. E When directed by the OWNER, the ENGINEER will prepare modifications to the original construction contract, or additional
construction contract documents as required by Federal Funding availability for the project.

SECTION III - THE OWNER ANd ENGTNEER FURTHER AGREE
This is an Arkansas Contract and in the event ofa dispute conceming a question of fact in connection with the provisions of this confact
which cannot be disposed of by mutual agreement between the OWNER and ENGINEER, the matter shall be resolved in accordance
with the Laws of the State of Arkansas.
2.This Agreement may be terminated by either party by seven (7) days written notice in the event ofsubstantial failure to perform in
accordance with the terms hereof by the one (l ) party through no fault to the other party. If this Agreement is so terminated, the
ENGINEER shall be paid for the time and materials expended to accomplish the services performed to date, as provided in SECTION
IV - ENCINEERING FEES; however, the ENCINEER may be required to fumish an accounting of all costs. If the contract is so
terminated, the ENGINEER shall be paid for his time at the rate of 2.75 times the actual salary costs paid to his ernployees working on
the project, and the actual costs of materials expended.
3.The FAA, OWNER, Cornptroller Gencral of the United States or any of their duly authorized representatives shall have access to any
books, documents, papers and records ofthe ENGINEER which are directly pertinent to a specific grant program for the purpose of
making audit, examination, excerpts, and t"nscription. The ENGINEER shall maintain all required records for 3 years after the OWNER
makes final payment and all other pending matters are closed.
4.After completion of the Project, and prior to final payment, the ENGINEER shall deliver to the OWNER, all original documentation
prepared under this Contract, and one ( I ) set of the record drawing Construction Plans updated to reflect changes. One ( I ) set of the
record drawing Construction Plans will also be delivered to the FAA Airport District Office, if requested by the FAA project manager.
Basic survey notes and sketches, charts, computations and other data shall be made available, upon request, to the OWNER without
restriction or limitation on their use. In the event the OWNER does not have proper storage facilities for the protection of the original
Drawings, the OWNER may request the ENGINEER to rctain the Drawings with the provision that they will be made available without
rcstriction upon written request. In the event any of the above documents are re-used by the OWNE& the nameplates will be removed
and the ENGINEER released and held harmless of subsequent liabilities.

SECTION IV. ENGINEERING FEES
For Basic and Special Engineering Services for the project, the engineering fees shall be as tabulated below:
t -2.For the ARFF Building and for the Rehabilitation of the Terminal Ramp, and for Expension of the Rrmp, for Surveys for Design
and Engineering Report/Preliminary and Final Plans Preparation, the OWNER agrees to pay the ENGINEER the lump sum fee of
$48,850. The ENGINEER will be paid monthly by the owner based on the percent of the project complete to date, based upon
statements submitted by the Engineer to the OWNER. These statcments will be supported by a monthly progress report prepared by
the ENGINEE& and submitted in the form and number required by the OWNER. Total payment for each part as shown above will
be due when that part is acceptably complete to the satisfaction of the OWNER.
For the ARFF Building, and for the Rehabilitation of the Termingl Remp, and for Expansion of the Ramp For Construction
Support Services, the OWNER agrees to pay the Engineer for time, billed at the marked up rates shown in the attached Engineering
Cost Estirnate, and a fixed fee of $4,800 and for the actual cost ofrnaterials normal and necessary to the production ofthe project. The
estimated cost ofConstnrction Support services, including the fixed fee is $ 44,865.
For thc preparrtion ofr prvement management plan, as detailed in the attached Engineering Cost Estimate, the owner agrees to
pay the Engineer the Lump Sum Fee of $ I 7,850.
For the Terminel Canopy, as detailed in the attached Engineering Cost Estimate, the owner agrees to pay the Engineer the Lurnp
Sum Fee of$ 5,035.

SECTION V . ADDITIONAL REQUIRED LANGUAGE FOR FEDERALLY FUNDED PROJECTS
TITLE VI ASSURANCES
During the performance ofthis contract, the ENGINEER, for itself, its assignees and successors in interest (hereinafter referred to as
the "ENGINEER") agrees as follows:
Compliance with Requlations. The ENGINEER shall comply with the Regulations relative to nondiscrimination in federally
assistcd programs of the Department of Transportation (hereinafter, "DOT") Title 49, Code of Federal Regulations, Part 2 1, as
they may be amended from time to tirne, (hereinafter referrcd to as thc Regulations), which are herein incorporated by reference
and made a part ofthis confi-act.
Nondiscrimination. The ENGINEER, with regard to the work performed by it during thc contract, shall not discriminate on the
grounds ofrace, color, or national origin in the selection and retention ofsubconhctors, including procurtment ofmaterials and
leases of equipment. The ENGINEER shall not participate either dircctly or indircctly in the discrimination prohibited by section
2 L5 of the Regulations, including employment practices when the contract covers a program set forth in Appendix B of the
Regulations.
Solicitations for Subconracts. Includinq Procurement of Materials ind Equipment. In all solicitations either by competitive
bidding or negotiation made by the ENCINEER for work to be performed under a subcontract, including procurement of
materials or leases of equipment, each potential subconh-actor or supplier shall be notified by the ENCINEER of the
ENGINEER s obligations under this contract and the Regulations relative to nondiscrimination on the grounds of race, color,
or national origin.
Information and Reoorts. The ENGINEER shall provide all information and reports required by the Regulations or directives
issued pursuant thereto and shall permit access to its books, records, accounts, other sources ofinformation, and its facilities as
may bc determined by the OWNER or the Federal Aviation Administration (FAA) to be pertinent !o ascertain cdmpliance with
such Regulations, orders, and instructions. Where any information required of the ENGINEER is in the exclusive possession
of another who fails or refuses to lumish this information, the ENGINEER shall so certiry to the OWNER or the FAA, as
appropriate, and shall set forth what efforts it has made to obtain the information.
Sanctions for Noncompliance. In the evcnt of the ENGINEERs noncompliance with the nondiscrimination provisions of this
contract, the OWNER shall impose such contract sanctions as it or the FAA may determine to be appropriate, including, but not
limited to -
5.A withholding of payments to the ENGINEER under the contract until the ENCINEER complies, and/or
5.B cancellation, termination, or suspension ofthe contract, in whole or in part.
Incomoration of Provisions. The ENGINEER shall include the provisions of paragraphs I through 5 in every subcontract,
including procurement ofmaterials and leases ofequipment, unless exempt by the Regulations or directives issued pursuant
thercto. The ENGINEER shall take such action with respect to any subcontract or procurcment as the OWNER or the FAA may
direct as a means ofenforcing such provisions including sanctions for noncornpliance. Provided, however, that in the event
ENGINEER becomes involved in, or is threatened with, litigation with a subcontractor or supplier as a result of such direction,
the ENGINEER may request the OWNER to enter into such litigation to protect the interests of the OWNER and, in addition,
the Engineer may request the Unitcd States to enter into such litigation to protect the interests ofthe United States.
DISADVANTAGED BUSINESS ENTERPRISE (D.B.E.) ASSURANCES

Policv. It is the policy ofthe Department ofTransportation (DOT) that disadvantaged business enterpriscs as defined in 49 CAR
Part 23 shall have the maximum opportunity to participate in the performance of contracts financed in whole or in part with
Federal funds under this agreement. Consequently, the D.B.E. rcquirements of 49 CAR Part 23 apply to this agrcement.
D.B.E. Obliqation. The ENGINEER agrees to cnsure that minority business enterprises as defined in 49 CFR Part 23 have the
maximum opportunity to participate in the perforrnance ofcontracts and subcontracts financed in whole or in part with Federal
funds provided under this agreement. In this regard, all ENGINEERS shall take all necessary and reasonable steps in accordance
with 49 CFR Part 23 to ensure that minority business enterprises have the maximum opportunity to compete for and perform
contracts. ENGINEER shall not discriminate on the basis of race, color, national origin, or sex in the award and performance
of DOT-assisted contracts.
SECTION VI . SPECIAL PROVISIONS, EXHIBITS ANd SCHEDULES

6.3 This Agreement (consisting of pages I to _8 , inclusive) together with the Exhibits and schedules identificd above constitute the entire
agreement between OWNER and ENGINEER and supersede all prior written or oral understandings. This Agreement and said Exhibis
and schedules may only be amended, supplemented, modified or canceled by a duly executed written instnrment.

Field Surveys, Data Entry, Report Preparation and Program Support
1. Field Surveys - Divide airside network into branches, sections and sample units. Prepare maps for
field use. Perform on-site visual inspection of all apron, taxiway and runway pavement areas using 10%
sample unit coverage (85 sample units estimated). Note special features and distresses as needed.
2. Dala Entry - Office work to research construction history data, and to enter field data into MicToPAVER
computer program. Compute existing pavement PCI values. Develop and input construction cost unit
prices in preparation for cost analysis projections. Complete needed analysis for report preparation.
3. Report Preparation - Prepare Airfield Pavement Report including: results of field surveys, compilation and
analysis of MicToPAVER-generated reports, projected pavement condition reports, and a Proposed
Airfield Pavement Rehabilitation Plan, outlining a prioritized schedule for rehab, repair and reconstruction
needed for airport pavements.
4. Program lnstallation and Training - lnstall MicToPAVER program and Drake Field PMS data files on airport
computer system, and verify correct operation. Conduct short course on pavement network, field surveys, data
entry and report preparation for selected airport personnel.
