A RESOLUTION APPROVING A LEASE MODIFICATION TO
CURRENT AIRLINE AGREEMENTS WHICH WILL ALLOW A
ONE YEAR EXTENSION OF EACH CONTRACT WITH FIVE
ONE YEAR OPTIONS AND GRANT TO EACH AIRLINE A 5%
DISCOUNT, INCREASED BY 5% ANNUALLY THROUGH
THE FIVE YEAR EXTENSION PERIOD, TO EXCLUSIVE
SPACE RENTAL.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE,
ARKANSAS:
Section 1. That the City Council hereby approves a lease modification to current airline
agreements which will allow a one year extension of each contract with five one year options and
grant to each airline a 5% discount, increased by 5% annually through the five year extension
period, to exclusive space rental. A copy of the agreements is attached hereto marked Exhibit "A"
and made a part hereof.

MODIFICATION OF LEASE AGREEMENT
This AGREEMENT is made this a p fA day of J I y,c,ary
199V, by and between the City of Fayetteville, Arkansas, hereinafter called "Lessor", with
Atlantic Southeast Airlines, Inc., hereinafter called "Lessee", the terms of which shall become
effective January 1, 1997.
WHEREAS, Lessor and Atlantic Southeast Airlines, Inc., entered into a Lease
Agreement dated May 1. 1985, which lease has been modified by subsequent agreements;
and,
WHEREAS, the parties desire to further modify the aforesaid Lease Agreement
NOW, THEREFORE, THE PARTIES MUTUALLY AGREE AS FOLLOWS:
1. Number 4. of said lease is hereby modified to read:
TERM: Subject to earlier termination, as hereinafter provided, the
term of this agreement shall be as follows: The term shall commence on
January 1, 1997 and shall end December 31, 1997. The agreement may be
extended for five additional one year terms under the terms of the existing
agreement with the exception of exclusive space rental.
2. Number 5. of said lease is hereby modified to read:
RENTALS AND CHARGES: Lessee agrees to pay Lessor for the use of the
premises, facilities, rights, services, and privileges granted hereunto, rentals and
charges according to the following schedule, which rentals and charges shall be
payable within 20 days from receipt of invoice. It is the desire of the Lessor to
maintain air carrier service by offering incentives to retain the current level of air
carrier services. Should, however, any one or more of the air carriers operating at
the Airport on January 1, 1997, terminate their agreement(s), all contracts shall
immediately become subject to monetary re-negotiation of the stated terms at the
discretion of the Lessor.
3. Number 5A of said lease is hereby modified to read:
A. For the exclusive use of 835.5 square feet of office space in the
terminal building such space being more particularly identified as the addition
of ticket counter space, existing operations center, storage/office space and
freight handling/store room, the sum of$14.62 per square foot for 1990 upon
relocation of said counter and $15.86 per square foot for the calendar year
1991.
1. A five percent (5%) discount to exclusive space rental shall be granted
to the Lessee, said discount will be increased by an additional five percent
(5%) annually on January 1st of each year through the five year extension
period. This discount shall not exceed twenty five percent (25%) through the
extension period. Should any one of the air carriers providing service on
January 1, 1997, terminate their agreement(s), all air carrier contracts are
subject to re-negotiation in accordance with Paragraph 5.

Air Midwest, Inc., hereinafter called "Lessee", the terms of which shall become effective
January 1, 1997.
WHEREAS, Lessor and Air Midwest, Inc., entered into a Lease Agreement dated
May 6, 1979, which lease has been modified by subsequent agreements; and,
WHEREAS, the parties desire to further modify the aforesaid Lease Agreement
NOW, THEREFORE, THE PARTIES MUTUALLY AGREE AS FOLLOWS:
1. Number 4. of said lease is hereby modified to read:

199g by and between the City of Fayetteville, Arkansas, hereinafter called "Lessor", with
Express Airlines I, Inc., hereinafter called "Lessee", the terms of which shall become
effective January 1, 1997.
WHEREAS, Lessor and Express Airlines I, Inc., entered into a Lease Agreement
dated September 3, 1985, which lease has been modified by subsequent agreements; and,
WHEREAS, the parties desire to further modify the aforesaid Lease Agreement
NOW, THEREFORE, THE PARTIES MUTUALLY AGREE AS FOLLOWS:
1. Number 4. of said lease is hereby modified to read:

dated February 1, 1991, which lease has been modified by subsequent agreements; and,
WHEREAS, the parties desire to further modify the aforesaid Lease Agreement
NOW, THEREFORE, THE PARTIES MUTUALLY AGREE AS FOLLOWS:

Dear Mr. Trenary:
This year began the second option to your current airline Lease Modification. This option extends your
contract for one year with an additional five percent(5%)discount to each airline currently operating at Drake
Field.
The five percent (5%) reduction will take effect annually through the five year extension period and applies
to the exclusive space rental. The annual discount deducted from your exclusive rental rate is $.793 per sq.
ft. per year. This five year incentive will continue as long as all air carriers currently serving Drake Field
remain at Drake Field. Should any one of the air carriers that were providing service on January 1, 1997
terminate their agreement, all air carrier contracts will be subject to renegotiation. The City's billing in
February(for January 1998 activity)will reflect the five percent (5%) discount applied to the exclusive rental.
The 1997 total passenger traffic movement increased nine percent (9%) over 1996's totals. Our records
indicate a 23% increase in the total enplanements for the month of January, 1998 as compared to the month
of January, 1997.
With the LDA/Glideslope and its new lower landing minimums in place, we are confident your airline and
passengers will benefit from this improved capability. We look forward to working with you and your airline
for another successful year.

RE: RENTAL REDUCTION OF EXCLUSIVE RENT
Dear Mr. Beiser:
This year began the second option to your current airline Lease Modification. This option extends your
contract for one year with an additional five percent(5%)discount to each airline currently operating at Drake
Field.
The five percent (5%) reduction will take effect annually through the five year extension period and applies
to the exclusive space rental. The annual discount deducted from your exclusive rental rate is $.793 per sq.
ft. per year. This five year incentive will continue as long as all air carriers currently serving Drake Field
remain at Drake Field. Should any one of the air carriers that were providing service on January 1, 1997
terminate their agreement, all air carrier contracts will be subject to renegotiation. The City's billing in
February(for January 1998 activity)will reflect the five percent (5%) discount applied to the exclusive rental.
The 1997 total passenger traffic movement increased nine percent (9%) over 1996's totals. Our records
indicate a 23% increase in the total enplanements for the month of January, 1998 as compared to the month
of January, 1997.
With the LDA/Glideslope and its new lower landing minimums in place, we are confident your airline and
passengers will benefit from this improved capability. We look forward to working with you and your airline
for another successful year.
