A RESOLUTION APPROVING AN ENGINEERING
CONTRACT WITH MCGOODWIN, WILLIAMS & YATES IN
AN AMOUNT NOT TO EXCEED $34,960, FOR ENGINEERING
WORK RELATED TO THE WHITE RIVER WATER SYSTEM.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE,
ARKANSAS:
Section 1. That the City Council hereby approves an engineering contract with
McGoodwin, Williams & Yates in an amount not to exceed $34,960, for engineering work related
to the White River Water System, and authorizes the Mayor and City Clerk to execute same.
A copy of the contract is attached hereto marked Exhibit "A" and made a part hereof.

AGREEMENT FOR ENGINEERING SERVICES
WATER SYSTEM IMPROVEMENTS
HIGHWAY 45 EAST AND WHITE RIVER CONNECTIONS
THIS AGREEMENT, entered into this S',X day of Fcirc'a f/
1997, by and between the City of Fayetteville, Arkansas, hereinafter referred to as the
"Owner," and the engineering firm of McGoodwin, Williams and Yates, Inc., of
Fayetteville, Arkansas, hereinafter referred to as the "Engineer,"
WITNESSETH THAT:
WHEREAS, the Owner has recently acquired from the White River Rural Water
Association that portion of their system lying in the Fayetteville service area (herein-
after referred to as the "White River System"); and
WHEREAS, that system is now served by a deep well located in the Goshen
area; and
WHEREAS, the Owner now desires to construct the necessary facilities to
supply water to the White River System from Fayetteville's system; and
WHEREAS, Fayetteville's system serving the Highway 45 east area has
deficiencies that should be corrected, and
WHEREAS, the Engineer has recently completed an update of the Owner's
Water System Master Plan setting forth these deficiencies and is familiar with the
system; and
WHEREAS, the Owner is now ready to proceed with the improvement of these
facilities; and
WHEREAS, the Engineer has demonstrated experience and competency to
provide the required engineering services; and
WHEREAS, the Owner desires to employ the Engineer to provide the necessary
engineering services through detailed studies, design, and construction of the facilities;
NOW THEREFORE, in consideration of the mutual covenants and agreements
herein contained, the Owner and the Engineer, the parties hereto, stipulate and agree
that the Owner does hereby employ the Engineer to perform the required engineering
services as hereinafter set out and the Engineer agrees to provide said services.

Section I. The Project
The work covered by this Agreement is a preliminary study to determine those
facilities necessary to allow the Owner to supply water to the recently acquired White
River System from Fayetteville's facilities and those facilities required to upgrade the
Highway 45 east portion of Fayetteville's system. It is anticipated that the work will
include lines, pump stations, and the construction of an elevated tank. The actual
facilities to be constructed will be defined during the study phase. The project will be
constructed in two phases. Phase 1 will include those facilities required to make the
initial connection to the White River System. Phase 2 will include the remaining
facilities proposed to be constructed.
Section II. Scope of Engineering Services
The Engineer shall provide a suitable engineering staff to complete the
necessary preliminary studies and field surveys, to perform detailed design, to prepare
plans and specifications, to provide needed services during construction of the project,
and to provide other services as may be directed by the Owner. The staff shall consist
of engineers, engineering technicians, inspectors and other assistants as may be
necessary to carry on the work in an efficient and expeditious manner. The Engineer
will provide the following services:
A. Studies, Preliminary Design, and Reports
An interim study will be completed to determine the initial White River
connections required, and a final report, including the Engineer's opinion
of probable cost, will be completed with evaluations related to the
development of the ultimate east side water system and a plan for the
1998 east side construction program. The scope of the study will include
the following:
1. Evaluation of a tie between the Fayetteville water system and
the White River water system at three (3) locations: Wyman
Road, Highway 45, and Lake Sequoyah Road. An evaluation
will be made as to the feasibility and desirability of separating
the Round Mountain portion of the White River System from the
remainder of the system.
2. Determination of the relocation or replacement of the pump
station on Wyman Road.
3. Evaluation of the need for additional chlorine injection within the
White River water system.

4. Evaluation of those improvements to the Fayetteville water
system in the Highway 45 east area which are required to
provide sufficient water to both the Fayetteville and White River
systems. These improvements will include a storage tank, pump
station, and related system piping. Opinions of probable cost
will be made and a determination of the cost division between
what is required for Fayetteville's use and what should be
charged to the White River System.
5. Determination of where to split the Highway 45 east pressure
plane, along with the facilities required to accomplish the split.
6. Evaluation of at least three (3) different pipeline routing
systems to supply the Highway 45 east system; Joyce
Boulevard to Sassafras from the north, Crossover and Old Wire
road to the east, and Crossover and Highway 45 to the east.
These evaluations will consider short-term costs and impacts
on the remainder of the water system. Recommendations will
be made for short-term construction.
7. Identification of the SCADA system requirements.
8. Evaluation of the two mini-pumps in the White River system.
B. Design and Construction Services
The scope of work, contract provisions, and method of payment for the design of
the Phase 1 and Phase 2 facilities shall be determined after the completion of
the Preliminary Engineering Study, and such engineering work shall be provided
for by amendment to this contract.
C. Additional Services
The Engineer will provide other services not specifically set out under the above
scope of work, if required, and as directed by the Owner and mutually agreed to
by the Engineer.

Section III. Payment
In consideration of the performance of the foregoing services, the Owner shall
compensate the Engineer as follows:
A. For engineering services set out under Section II-A, "Studies," and for any
work performed under Section II-E, "Additional Services," compensation shall
be paid on the basis of hourly rates in effect at the time the services are
performed, plus reimbursable expenses. A schedule of rates currently in
effect is set out in the attachment to this document. Hourly rate schedules
will be adjusted annually each January 1.
The reimbursable expenses for which the Engineer will be reimbursed shall
include travel expenses when traveling outside of Northwest Arkansas in
connection with the project, rental expenses for special equipment needed
for completion of the work, purchase of material, and other expenses directly
attributable to the project, including any work performed by sub-contractors.
No reimbursable expenses are anticipated under the Preliminary Engineering
part of this contract. How reimbursables are charged in subsequent amend-
ments to this contract shall be negotiated at the time of the amendments.
The estimated cost for the services set out under Section II-A is $34,960 (see
attachment). This estimated fee will not be exceeded without prior authori-
zation from the Owner and only in the event of a change in the scope of the
study.
B. For engineering services performed under Section II-B, "Design and
Construction Services," the basis of compensation will be cost plus a fixed
fee, with a not-to-exceed maximum.
Payment for engineering services under this agreement shall be made within
thirty (30) days after claim submittal by the Engineer. Claims will be submitted within
sixty (60) days after billable hours are incurred.
Section IV. Owner's Responsibilities
In connection with the project, the Owner's responsibilities shall include, but not
be limited to, the following:
A. Giving thorough consideration to all documents presented by the
Engineer and informing the Engineer of all decisions within a reasonable
time so as not to delay the work of the Engineer.
B. Making provision for the employees of the Engineer to enter public and
private lands as required for the Engineer to perform necessary surveys
and investigations.

C. Furnishing the Engineer such plans and records of construction and
operation of existing facilities, or copies of same, bearing on the proposed
work as may be in the possession of the Owner. Such documents or data
will be returned upon completion of the work or at the request of the
Owner.
D. Giving prompt written notice to the Engineer whenever the Owner
observes or otherwise becomes aware of any defect in the project or other
events which may substantially alter the Engineer's performance under
this Agreement.
Section V. Documents
All documents, including any originals, shall become the property of the Owner.
The Owner shall not reuse or make any modification to the plans and specifications
without prior authorization.
Section IV. Time for Completion
The study phase of the project shall be completed as follows:
1. Interim report delivered within four (4) weeks after receipt of a Notice to
Proceed from the Owner.
2. Final report delivered within nine (9) weeks after receipt of a Notice to
Proceed from the Owner.
Provided, however, that no delays are encountered through no fault of the Engineer
and that the necessary data to be furnished by the Owner is received by the Engineer
in a timely manner. For engineering services performed under Section II-B, "Design
and Preparation of Construction Plans and Specifications;" the schedule for completion
will be determined after studies have been completed and the scope of the work is
more clearly established.
Section VI. Termination
The obligation to provide further services under the contract may be terminated
by the Owner for cause or for no reason at all. Upon termination the Owner shall within
thirty (30) calendar days of termination pay the Engineer for all services rendered in
accordance with the payment terms of the contract.

Section VII. Standard of Care
Services provided by the Engineer under this Agreement will be performed in a
manner consistent with that degree of care and skill ordinarily exercised by members of
the same profession currently practicing under similar circumstances.
THIS AGREEMENT shall be binding upon the parties hereto, their partners,
heirs, successors, administrators and assigns; and neither party shall assign, sublet or
transfer his interest in this agreement without the prior written consent of the other party
hereto.
IN WITNESS WHEREOF, the Owner has caused these presents to be executed
in its behalf by its duly authorized representatives, and the said Engineer by its duly
authorized representatives, and the parties hereto have set their hands and seals on
the date heretofore set out.
