WHEREAS, in 2019, Specialized Real Estate Group approached Parks staff with plans to construct a multi -family
development and commercial space southwest of Martin Luther King Jr. Boulevard and South School Avenue near
valuable outdoor recreation resources; and
WHEREAS, the Parks Board recommended approval of the developer's request for a combination of parkland
dedication and fees in -lieu, totaling 1.24 acres and $150,416.00 respectively, based on 220 multi -family units; and
WHEREAS, after the project scope was reduced to 128 units, the City received 1.28 acres and $61,144.14 in fees for
the Southwest Quadrant; and
WHEREAS, in the cost share agreement, Specialized Real Estate Group, Inc. has agreed to provide design documents,
construction administration services, all additional funds beyond the $64,000.00 provided by the city, and maintenance
for the park for 10 years.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE,
ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby authorizes Mayor Rawn to sign a cost
share agreement with Specialized Real Estate Group, Inc., with the City's portion of the cost not to exceed $64,000.00,
for improvements to the park adjacent to the Southyard Development.
Section 2: That the City Council of the City of Fayetteville, Arkansas hereby approves a budget adjustment, a copy of
which is attached to this Resolution, to recognize Park Land Dedication funds from the Southwest Quadrant.

Approval to enter into a cost share agreement with Specialized Real Estate Group, Inc. Owner, LLC, to
improve a trail side park for a total city cost not to exceed $64,000.00 and approval of supporting budget
adjustment to recognize Park Land Dedication funds in the Southwest Quadrant.
BACKGROUND:
In 2019, Specialized approached Parks staff with plans to construct a multi -family development and
commercial space on the SW intersection of Martin Luther King Jr. Blvd and S. School Ave. The development
is located near valuable outdoor recreation resources. At the project's western border is Tanglewood Branch
Creek and the intersection of two major paved trails, the Razorback Greenway and Tsa-La-Gi Trail.
Parks Board recommended approval of Specialized's request of parkland dedication and fees in -lieu, totaling
1.24 acres and $150,416 respectively. This was based on 220 units, which was later reduced to 128 units.
Parks received 1.28ac and $61,144.14 in fees for the Southwest Quadrant.
This agreement includes Specialized providing design documents, construction administration, and all
additional funds beyond the $64,000 provided by the city for park construction. The total cost of construction is
estimated to be $310,000.Specialized involved Parks Planning and Parks Maintenance Staff in the park design
process. Comments and suggestions from Staff were incorporated into the park's final design.
This agreement also includes Specialized providing maintenance for the park for 10 years before conversion to
city responsibility.
DISCUSSION:
Park Land Dedication funds not to exceed $64,000.00 have been identified for the project. Cash payments will
be made to Specialized commensurate with the percentage of constructed work completed.
BUDGET/STAFF IMPACT:
Funds are available in the SW Quadrant Parkland Dedication Fund. Staff time will be used to provide due
diligence as needed.

CONTRACTUAL AGREEMENT FOR COST SHARE
OF PARK DEVELOPMENT
This Agreement, made and entered into on this I day of April , 2025, by and
between the City of Fayetteville, Arkansas ("City") and Specialized Real Estate Group, Inc.
("Specialized") witnesseth:
WHEREAS, a mixed use project consisting of multi -family housing and commercial spaces is
being constructed on land owned by Tanglewood Owner, LLC, Tanglewood Owner II, LLC, and
Tanglewood Owner 111, LLC (the "Owner Entities") near south west corner of the intersection of
West Martin Luther King, Jr. Boulevard and South School Avenue; and
WHEREAS, Specialized is primarily responsible for development management related to the
Owner Entities and the Owner Entities are affiliates of Specialized; and
WHEREAS, Specialized or one or more of the Owner Entities have previous dedicated parkland
to the City of Fayetteville and agreed to pay for a portion of the costs to develop the parkland
and the City has also agreed to provide additional funding for the park development; and.
WHEREAS, the parties wish to memorialize their respective obligations with respect to the
development of this parkland (park).
WHEREAS, Specialized has estimated that the total cost of developing the park will exceed
$200,000.00 based on the 100% Construction Documents set, and that the City shall contribute up
to $64,000.00 for development of the park as shown in the attached design documents (Exhibit A)
and made a part hereof.
Term. The development of the parkland is anticipated to be completed by the end of
June or July 2025.
2. The Project. The project includes construction of a new park that meets recreational,
environmental, and sustainable goals and all relevant codes, laws, and ordinances.
Specialized, or its contractors, will construct the park based on the design documents
(Exhibit A) and maintain the park for ten years after certificate of occupancy is issued for
the Project.
3. City of Fayetteville's Rights and Responsibilities.
A. The City shall provide the amount of $64,000.00 in cash for the Project. Payments
will be made commensurate with the percentage of constructed work completed
for the park.
B. The City shall remit payment to Specialized up to the amount set forth in Section
3.A within thirty (30) days of receipt of valid invoices.

C. The City shall work with Specialized on any modifications of the Project if
needed and the city shall approve any change orders during construction of the
park. Any major revisions to the park design shall be approved by the city.
D. The City, through its Purchasing Division, will be available for consultation by
Specialized to ensure City policies, as applicable, are followed correctly.
4. Specialized's Rights and Responsibilities.
A. Specialized shall pay (or cause the Owner Entities to pay) the costs to develop the
Park. (with up to $64,000.00 in reimbursement by the City for its portion of the
Project). Specialized shall submit invoices to the city indicating percent
completion of the park.
B. Provide the necessary and normal project management, inspection, and testing as
necessary for the complete and acceptable construction of the park. Specialized
shall ensure compliance with the City's Unified Development Code (including,
specifically, the Streamside Protection Ordinance), other City ordinances, and any
applicable state and federal laws. Specialized is responsible for ensuring the park
is constructed meeting applicable codes.
C. To begin construction of the project Specialized shall issue a notice to proceed to
its contractor or contractors. Specialized agrees that Specialized will use
commercially reasonable efforts to substantially complete the Project within 6
months after the notice to proceed has been issued.
D. Specialized shall maintain the Project for a period of ten (10) years from the date
a Certificate of Occupancy is issued for the. Specialized may include a reasonable
estimate of ongoing maintenance costs as part of its contribution for the Project.
Specialized shall not substantially alter the Project without written approval from
the City. Substantial alterations shall include any activities unrelated to the
general maintenance of the project including, but not limited to, grading,
installation or removal of permanent fixtures, installation or removal of signage,
and alteration of the stream or streambank. Specialized shall at a minimum
maintain the park to Level Three maintenance as defined by park standards, as
attached hereto as Exhibit B.
E. Specialized agrees that it will require all of its contractors to indemnify, defend,
and hold harmless the City from and against any and all loss where loss is caused
or incurred or alleged to be caused or incurred in whole or in part as a result of the
negligence or other actionable fault of the Contractors, or their employees, agents,
Subcontractors, and Suppliers.
F. Specialized agrees that it will build the park to meet or exceed typical park
standards so that a long lasting, reasonably maintainable park will be constructed.

A primary function of the park is to serve as an exciting stop on the Razorback
Greenway offering places for people to sit and enjoy the small greenspace with
food opportunities close by.
G. Specialized may add low voltage lighting to the park powered from the existing
trail lights. The city will pay for the electrical use and Specialized shall maintain
the lights.
5. Railroad Trestle. The city will not accept the Railroad Trestle in its current state. The
parties may determine that improvements to the railroad trestle are warranted. The City
may, but is not required, to accept the railroad trestle as additional parkland dedication or
donation. Any provisions related to the railroad trestle shall be addressed in a written
change order or contract amendment.
6. Contract Amendments. Changes, modifications or amendments to the scope, price or
fees dictated by this Contract shall not be allowed without a prior formal Contract
amendment approved by the City and by the authorized agent of Specialized in advance
of the change.
7. Contractor. It is further understood that the contract for construction of these
improvements is between Specialized (or the Owner Entities) and their Contractor and
that the City has no contractual obligation with either the Contractor or any agent of
Specialized. The City's only obligation shall be to participate in a contractual agreement
with a not -to -exceed amount of $64,000.00 for the construction of the park.

Level3 Maintenance Standards
Fayetteville Park and Recreation System Master Plan (2023)
Level 3 - Consistent, moderate care maintenance for regularly attended but lower
use areas of high use parks. Maintenance should ensure a safe, attractive, and
functional site and accommodate this steady and medium levels of visitors.
Maintenance is typically performed once to twice per week.
Park areas in this category include: lower but still actively used areas of regional and
Community Parks, and high use areas of the most popular neighborhood parks such as
Gordon Long west of creek.
• INSPECTIONS Quality inspections done every other month.
• TURF CARE Mowed at least once every seven working days in growing season. Little effort is used
to keep a weed free turf.
• LITTER CONTROL Trash cans emptied minimum three days per week.
• RESTROOMS Open minimum 12 hours per day, seven days per week. Cleaned minimum of once
every other day.
• PLAYGROUNDS Inspected for safety routinely based on usage. Loose surfaces groomed monthly,
solid surfaces cleaned once per week.
• FACILITIES Kept tidy and clear of debris and are cleaned prior to and after reservations.
• SURFACES Cleaned regularly. Repaired, repainted, or replaced when appearances have
noticeably deteriorated.
• FURNISHINGS Kept clean and functional. Tolerance of wear and tear that does not impede use
and safety.
• IRRIGATION Frequency of use follows rainfall, temperature, etc. Inspected once per month during
growing season. In times of drought these are medium priority areas.
• LANDSCAPE PLANTINGS Minimal care. Floral plantings are limited in size and complexity.
Minimal care (water, fertilizing, pruning, weeding, etc.) is done once every three weeks in growing
season.
• REPAIRS performed whenever safety, function, or appearance is in question.
NOTE FOR COST SHARE AGREEMENT BETWEEN SPECIALIEZED AND CITY:
Maintenance on "SURFACES" category includes the inspection and removal of any mold, mildew,
or other agents that generate a slipping hazard on wooden boardwalks and decking.

3. THE CONTRACTOR SHALL NOTIFY THE GEOTECHNICAL ENGINEER TO INSPECT THE SUBGRADE PRIOR TO
PLACING FILL.
4. FILL AND BACKFILL SHALL BE PLACED IN HORIZONTAL, NOMINAL 6- TO 8-IN THICK LOOSE LIFTS. EACH LIFT SHALL
BE TESTED AND APPROVED PRIOR TO PLACING SUBSEQUENT LIFTS.

SPECIFICATIONS FOR HIGHWAY CONSTRUCTION. PRIOR TO PLACING THE CRUSHED STONE BASE COURSE THE

SHOWN ON THE DRAWINGS.
6. ALL MUD SOIL, AND LOOSE GRAVEL SHALL BE REMOVED FROM THE CRUSHED STONE BASE AND CONCRETE CURB
PRIOR TO PLACEMENT OF ASPHALT.
7. THE CONTRACTOR SHALL PROVIDE APPROPRIATE ADVANCED WARNING DEVICES, BARRICADES, BARRELS, AND
OTHER MEASURES AS NEEDED TO PROPERLY CONTROL AND ADVISE TRAFFIC OF CONSTRUCTION EQUIPMENT.

16. DUST ON THE SITE SHALL BE CONTROLLED. THE USE OF MOTOR OILS AND/OR OTHER PETROLEUM -BASED, OR

17. SOLID WASTE (INCLUDING TRASH AND DEBRIS) MUST BE DISPOSED OF PROPERLY, AND HAZARDOUS MATERIALS
(INCLUDING OIL, GASOLINE, AND PAINT) MUST BE PROPERLY STORED (WHICH INCLUDES SECONDARY
CONTAINMENT). PROPERLY MANAGE PORTABLE SANITARY FACILITIES.
18. USE DRY CLEANUP METHODS TO COLLECT LITTER AND ABSORB ANY LIQUID WASTES PRIOR TO ANY PRESSURE
WASHING. THESE INCLUDE USING ABSORBENTS (RAGS, SAND, ETC.), SWEEPING, AND SCRAPPING OFF DRIED
DEBRIS.
19. RUBBISH, TRASH, GARBAGE, OR LITTER SHALL BE DEPOSITED INTO SEALED CONTAINERS. MATERIALS SHALL BE
PREVENTED FROM BEING BLOWN OR WASHED OFF -SITE.
20. IF THE ACTION OF VEHICLES TRAVELING OVER THE GRAVEL CONSTRUCTION ENTRANCE/EXIT IS NOT SUFFICIENT
TO REMOVE THE MAJORITY OF DIRT OR MUD, THEN THE TIRES MUST BE WASHED BEFORE THE VEHICLES EXIT
ONTO THE PUBLIC ROADS. IF WASHING IS USED, PROVISIONS MUST BE MADE TO INTERCEPT THE WASH WATER
AND TRAP THE SEDIMENT BEFORE IT IS CARRIED OFF SITE..
21. ALL MATERIALS SPILLED, DROPPED, WASHED, OR TRACKED FROM VEHICLES ONTO ROADWAYS OR INTO STORM
DRAINS MUST BE REMOVED IMMEDIATELY.
22. ON -SITE AND OFF -SITE STOCKPILE AND BORROW AREAS SHALL BE PROTECTED FROM EROSION AND
SEDIMENTATION THROUGH IMPLEMENTATION OF BEST MANAGEMENT PRACTICES. STOCKPILE AND BORROW
AREA LOCATIONS SHALL BE NOTED ON THE SITE MAP AND PERMITTED IN ACCORDANCE WITH ADEQ
CONSTRUCTION STORMWATER PERMIT.
23. ALL MATERIALS MUST BE STORED OUT OF THE WAY OF VEHICULAR TRAFFIC.
24. ALL CONSTRUCTION SHALL BE STABILIZED AT THE END OF EACH WORKING DAY. THIS INCLUDES BACKFILLING
OF TRENCHES FOR UTILITY CONSTRUCTION AND PLACEMENT OF GRAVEL OR BITUMINOUS PAVING FOR ROAD

I. ALL TREES SHOWN ON THIS PLAN TO BE RETAINED SHALL BE PROTECTED
DURING CONSTRUCTION WITH TEMPORARY FENCING.
2. PROTECTION FENCES SHALL BE ERECTED ACCORDING TO CITY OF
FAYETTEVILLE STANDARDS FOR TREE PROTECTION.
3. PROTECTIVE FENCES SHALL BE INSTALLED PRIOR TO THE START OF ANY SITE
PREPARATION WORK AND SHALL BE MAINTAINED THROUGHOUT ALL PHASES
OF THE CONSTRUCTION PROJECT.
4. EROSION AND SEDIMENTATION CONTROL BARRIERS SHALL BE INSTALLED OR

8. TREES APPROVED FOR REMOVAL SHALL BE REMOVED IN A MANNER WHICH
