FIREFIGHTER INSPIRATION READINESS AND EDUCATION, LLC (PURCHASE AGREEMENT):

WHEREAS, the Fire Department applied for and received an Assistance to Firefighters Grant through the Federal
Emergency Management Agency to provide funding for fireground command training; and
WHEREAS, the Train -the -Trainer Mastering Fireground Command -Calm the Chaos Training Course from Firefighter
Inspiration Readiness and Education, LLC will be beneficial in enabling fire personnel to have hands-on fireground
command training exercises that reinforce like-minded practices and terminology to further enhance the safety of
firefighters when working with multiple agencies; and
WHEREAS, Firefighter Inspiration Readiness and Education, LLC is the only provider of this training course.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE,
ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby determines an exceptional situation exists
in which competitive bidding is deemed not feasible or practical and therefore waives the requirements of formal
competitive bidding and accepts the quote of $106,000.00 from Firefighter Inspiration Readiness and Education, LLC
for the purchase of the Train -the -Trainer Mastering Fireground Command -Calm the Chaos Training Course.

RECOMMENDATION:
Approval of a resolution authorizing the purchase of the Train -the -Trainer Mastering Fireground Command -
Calm the Chaos Training Course from Firefighter Inspiration Readiness and Education, LLC including the
workshop and online training at a cost of $106,000.
BACKGROUND:
The Department of Homeland Security (DHS) Federal Emergency Management Agency's (FEMA) Grant
Programs Directorate implements and administers the Assistance to Firefighters Grants (AFG). The purpose
of the AFG Program is to enhance, through direct financial assistance, the health and safety of the public and
firefighting personnel and to provide a continuum of support for emergency responders regarding fire, medical,
and all -hazard events. The Fire Department applied to the AFG grant program to request funding for the Train -
the -Trainer Mastering Fireground Command -Calm the Chaos Training Course from Firefighter Inspiration
Readiness and Education, LLC including the workshop and online training. This Grant was awarded by FEMA
(FY 2021 AFG Grant-EMW-2021-FG-06754) and accepted by City Council per Resolution #38-23 on February
21, 2023.
DISCUSSION:
Upon Council Approval, we will purchase the Train -the -Trainer Mastering Fireground Command -Calm the
Chaos Training Course from Firefighter Inspiration Readiness and Education, LLC. This will include the Travel
and Lodging for the Instructors, the Train -the -Trainer Workshop, and the Online Operations Training License
Course. This course will be beneficial in enabling fire personnel to have hands-on fireground command
training exercises that reinforce like-minded practices and terminology to further enhance the safety of
firefighters when working with multiple agencies. This includes sets and simulations along with training on
multi -company response scenes. Due to this specific training course and online training only being provided
by Firefighter Inspiration Readiness and Education, LLC, they are the sole source vendor for this Training.
BUDGET/STAFF IMPACT:
Per Council approval in Resolution #38-23, funds are in Fire- FEMA Grant For Fireground Command Training
project #32301.1 which utilizes Fire ACT 833 Revenue for the 10% grant match ($8,408.19) and 15%

contingency funds ($13,874) and $84,081.81 in FEMA funds to allow total funding of $106,364 for the Training

SCOPE OF WORK
Contractor shall provide the following services:
1. Online access for 330 personnel to the Mastering Fireground Command — Calm the
Chaos 32-hour self -paced operations program for two (2) years.
a. 40 licenses provided as part of the train -the -trainer package.
b. 290 additional licenses as requested by Fayetteville Fire Department.
2. Telephone and Video Conference meetings prior to dates of instruction to tailor the
training to the needs of the Fayetteville Fire Department and surrounding agencies.
3. Three (3) days of in -person instruction with 18 personnel designated by Fayetteville
Fire Department to become internal trainers for the Mastering Fireground Command —
Calm the Chaos program. In person instruction includes:
a. Three (3) Contractor instructors facilitating instruction.
b. One (1) day of classroom facilitation covering the tools and techniques to
effectively deliver curriculum to Fayetteville Fire Department and allied
agencies.
c. Two (2) days of practical curriculum application at a training facility provided by
Fayetteville Fire Department performing firefighting evolutions in full turnouts,
breathing apparatus, utilizing fire apparatus and firefighting tools. These drills
will be facilitated in a "cold smoke" (no live fire) environment.
4. Exclusive license for Fayetteville Fire Department to all student and instructor
materials for Mastering Fireground Command — Calm the Chaos. License shall
include (in electronic format):
a. All electronic presentations
b. All videos and audio files included in presentations.
c. Instructor and student handout materials
d. Four-DVD series Mastering Fireground Command — Calm the Chaos.
e. Access to Fire Engineering® Video Library for one (1) year
f. Pre -constructed simulations compatible with Digital CombustionT"' Fire Studio 6
simulation program.
g. Access to 100 online Sets and Reps designed by Sims-U-ShareTm exclusively
for FIRE, LLC.
The total cost for the above described scope of work is $106,000.

Staff requests the Mayor's Signature on the Professional Services Agreement related to
Resolution 192-23 approved by City Council on September 5, 2023.
BACKGROUND:
Resolution 192-23 was approved by City Council on September 5, 2023. Resolution 192-23
reads as follows: A Resolution to Waive Competitive Bidding and Accept a Quote for the
Purchase of a Fireground Command Training Course from Firefighter Inspiration Readiness and
Education, LLC in the amount of $106,000.
DISCUSSION:
The vendor is requesting signatures on the Professional Services Agreement associated with
the purchase of the Fireground Command Training Course.
BUDGET/STAFF IMPACT:
The Budget Impact of this Agreement was approved by City Council per Resolution 192-23 in
the amount of $106,000.

PROFESSIONAL SERVICES AGREEMENT
This Professional Services Agreement (hereinafter referred to as "Agreement') is made and
entered into as of the 26' day of September, 2023 (hereinafter referred to as "Effective Date") by and
between Fayetteville Fire Department (hereinafter referred to as "Client') with an office located at 303
W. Center Street, Fayetteville, AR 72701 and Firefighter Inspiration Readiness and Education, LLC
(hereinafter referred to as "Contractor") with an office located at 25640 Tierra Grande Drive, Carmel,
CA 93923.
WHEREAS, the Client wishes to obtain the professional services of the Contractor; and
WHEREAS, the Contractor has the knowledge, skill, and capability to perform such services
for the Client.
THEREFORE, in consideration of the foregoing, the parties, intending to be legally bound,
hereby agree to the following:
1. Services:
a. The Contractor is hereby retained by the Client, and Contractor agrees to provide
services set forth in Exhibit A attached hereto and incorporated herein by this
reference (hereinafter referred to as "Services")
b. Services shall be performed in accordance with the timeline set forth in Exhibit A,
or any supplemental schedule prepared by the Contractor and agreed to in writing
by an authorized representative of the Client.
2. Service Requirements:
a. The Services delivered hereunder shall confirm in all material respects to the
specifications set forth in Exhibit A and any other requirements agreed upon by
the parties in writing.
b. Contractor agrees to use sound and professional principles and practices in
accordance with normally accepted industry standards in rendering Services
hereunder, and Contractor further agrees that performance shall reflect the best
professional knowledge, skill, and judgement of Contractor.
c. Contractor shall furnish competent personnel for fulfillment of its obligations.

d. Client agrees to provide personnel, equipment, and facilities in support of
Contractor delivery of Services as set forth in Exhibit C attached hereto and
incorporated herein by this reference (hereinafter referred to as "Logistics").
e. If the client deems Contractor personnel unsatisfactory to perform Services due to
failure by such personnel to comply with the terms and conditions imposed on
Contractor as set forth herein, such personnel shall beremoved immediately.
3. Nature of Services:
a. Work Product
i. Client agrees that Contractor will be delivering training utilizing a
combination of online, classroom lecture, and hands-on techniques as
outlined in Exhibit A.
ii. Client agrees that Contractor will not be producing a Work Product as part
of Services outlined in Exhibit A
iii. Contractor will be utilizing proprietary materials for delivery of Services.
Contractor Proprietary Material
i. Client does not under this Agreement acquire any ownership rights in
and/or to any software, documentation, tools, techniques, methodologies,
or other materials which has not or is not created as part of the Services to
be rendered hereunder which is proprietary to Contractor (hereinafter
referred to as "Contractor Proprietary Material").
ii. Contractor grants Client a nonexclusive, royalty free, fully paid, perpetual,
irrevocable license to use the Contractor Proprietary Material as part of the
Work Product.
iii. Client agrees that license to use Contractor Proprietary Material applies
solely for use within the Client agency and any use or application of
Contractor Proprietary Material outside of Client agency shall represent a
breach of license described above.
c. Third Party Proprietary Material
I. Client does not under this Agreement acquire any ownership rights in
and/or to any software, documentation, tools, techniques, methodologies,
or other material which is proprietary to any third party (hereinafter
referred to as "Third Party Proprietary Material").
ii. Client shall be responsible for obtaining any necessary licenses for Third
Party Proprietary Material.
d. Marketing
i. Client agrees that Client employee electronic mail addresses provided will
be added to Contractor electronic mail databases for purposes of
communication prior to, during, and after delivery of work product.

4, Payment;
a. Client agrees to pay Contractor $106,000.00 for Services completed in accordance
with the terms of this Agreement as outlined in Exhibit B.
b. Contractor agrees to pay for travel, lodging, per diem costs incurred by Contractor
personnel.
c. The fee shall be due and payable as specified in Exhibit B.
d. The fee shall be payable thirty (30) days after completion of Services.
e. Except as otherwise specified in Exhibit B, Contractor shall not incur or charge the
Client any other fees or expenses without he prior written authorization of the
Client.
f. Performance beyond the limitations set forth in this Agreement (either financial or
time period) shall be at the sole risk and responsibility of the Contractor, and the
client shall not be obligated to pay for Services exceeding the funding or contract
period of this Agreement.
S. Term:
The term of this Agreement shall commence on the Effective Date and shall
continue until June 30, 2024, unless this Agreement is otherwise extended or
terminated in accordance with the terms specified herein.
6. Entire Agreement:
a. This Agreement, including the exhibits hereto, represents the entire agreement
between the parties hereto and supersedes all prior and contemporaneous
written or oral agreements and all other communications between the parties
relating to the Services to be rendered hereunder.
b. Any additions, deletions or modifications shall not be binding on either party
unless accepted and approved in writing by duly authorized representatives of
both parties.
In the event of any contradictory provisions between this Agreement and the
terms of any Exhibits, attachments or schedules hereto or any purchase order or
other documents issued by the Client or Service Provider in connection herewith,
the terms set forth in the body of this Agreement shall prevail.
7. Insurance:
a. During the term of this Agreement, and for any time period set forth in a mutually
agreed upon extension of this Agreement, Contractor and Client shall provide and
maintain in full force and effect, insurance policies with respect to employees,
vehicles, and general liability with coverage amounts, required endorsements,
certificates of insurance, and coverage verifications as required by law.

8. Hold Harmless:
Section 8language removed upon mutual agreement of the Contractor and Client.
9. Counterparts:
a. This Agreement maybe executed in one or more counterparts, each of which will
be deemed to be an original, and such counterparts will together constitute the
same instrument.
10. Severability:
a. The provisions of this Agreement shall be deemed severable, and is any portion
shall be held invalid, illegal or unenforceable for any reason, the remainder of this
Agreement shall be effective and binding upon the parties, unless to do so would
clearly violate the present legal and valid intention of the parties hereto.
11. Remedies:
a. Pursuit by either party of any remedies described herein, or otherwise available at
law or inequity, shall not preclude pursuit by that party of any other remedy or
remedies provided herein or otherwise available at law or in equity.
b. All remedies, rights, undertakings, obligations and agreements shall be cumulative
and none of them shall be in limitation of any other remedy, right, undertaking,
obligation or agreement of either party.
12. No Assignment or Subcontracting of Agreement
a. Client and Contractor bind themselves, their successors and assigns to all
covenants of this Agreement.
b. This Agreement shall not be assigned or transferred without the prior written
approval of Client.
c. Contractor shall not hire subcontractors without express written permission from
City.
13. Termination of Agreement
a. Either Party may terminate this Agreement without cause by giving the other Party
written notice ("Notice of Termination") which clearly expresses that Party's intent
to terminate the Agreement.
b. Notice of Termination shall become effective no less than thirty (30) calendar days
after a Party receives such notice.
c. After either Party terminates the Agreement, Contractor shall discontinue further
services as of the effective date of termination, and Client shall pay Contractor for
all Services satisfactorily performed up to such date.

Day one:
• Training classroom to accommodate 18 student instructors.
• Easel, adhesive easel pads, and multi -colored markers
• Refreshments (coffee, waters on ice)
• Lunch for each student instructor and Contractor instructor
• Screen, projector, computer, speakers, and connections
• Client representative for initial entry into classroom and then available by phone throughout
the instructional period
• Copies of all student handout materials for the 18 student instructors
Day 2 & 3Instruction:
Drill grounds with training tower and/or building to accommodate advancing and flowing
hose lines, placement and climbing of ladders, use of artificial smoke machines, use of power
saws, etc.
Portable Radio for each student (18) and one for each instructor (total of 21) with approved

Ideally, two staffed engines on duty. Engine companies can be split between AM and
PM sessions based on Client scheduling demands.
Lunch for 18 student instructors and three (3) Contractor instructors for each day of
instruction.
Rehabilitation location on site to include:
• Water & electrolyte refreshments on ice
• EMS standby equipment
• Shade
Contractor understands that different size agencies have different capabilities for supporting
Logistics outlined in Exhibit C. Contractor will work with Client to meet the intent of Logistics need to
facilitate Services delivery.
Though not a requirement of this agreement, an agency public safety dispatcher can provide an
increased dynamic to the drill grounds. Contractor encourages Client to attempt to involve Client
emergency dispatchers into day 2 and 3 operations.

Agency Certification of Participation
Client acknowledges that participants in Contractor training will be performing the functions
of firefighting to include, but not limited to:
• Use of structural firefighter protective clothing
• Use of self-contained breathing apparatus
• Use and application of firefighting tools and equipment.
• Performance of firefighting tasks, tactics, and strategy
• Operating in "cold smoke' conditions (i.e., no live fire) with limited visibility.
By signing below, Client certifies that participants:
• Meet Client agency requirements for health and fitness to perform the functions of
firefighting.
• Meet all Client agency training requirements to perform the functions of firefighting.
• Have successfully completed all requirements and testing to use a self-contained
breathing apparatus within the 12 months prior to the training date.
Client further certifies that all equipment provided during the training period has been
approved for use by Client agency and successfully passed required in service testing in
accordance with Agency standards.
